This is a fully remote position, open to applicants in California.
• Lead the negotiation of extensive compute and cloud capacity contracts with hyperscalers, neoclouds, and emerging service providers — covering capacity reservations, minimum commitments, service-level agreements, portability, and exit rights.
• Manage strategic hardware partnerships with vendors specializing in chips, accelerators, servers, and networking.
• Provide comprehensive legal support for the development of data centers and AI factories — including colocation and hosting master agreements, ground and build-to-suit leases, engineering and construction contracts, interconnection agreements, power purchase agreements, and utility arrangements.
• Organize and negotiate power agreements: power purchase agreements, tolling agreements, utility service agreements, behind-the-meter generation, and long-term energy and transmission contracts.
• Act as the legal lead for strategic infrastructure transactions — joint ventures, site acquisitions, and customized financing structures that support the AI factory roadmap.
• Develop scalable playbooks, templates, and delegation frameworks to enable our commercial and infrastructure teams to operate swiftly without compromising rigor.
• Collaborate with Security, Privacy, and Policy teams on cross-functional issues: tenant isolation, customer data flows, sovereign compute, and engagement with regulators.
• Oversee specialized external counsel in real estate, energy, hardware, and construction matters.
• J.D. and active bar membership (or in-house registration) in at least one U.S. jurisdiction.
• A minimum of 8 years of relevant legal experience, ideally combining both law firm and in-house backgrounds, with a proven track record in leading complex infrastructure, hardware supply, or cloud/compute transactions.
• Demonstrated expertise in at least two of the following areas, with working knowledge across the remaining:
• Strategic hardware partnerships and supply agreements (including semiconductors, accelerators, servers, networking, or similar).
• Hyperscaler and cloud capacity agreements, preferably from the perspective of an enterprise customer.
• Power purchase, utility, and energy contracting.
• Data center leases, colocation and hosting, and large-scale buildout contracting.
• Ability to operate independently on rapidly evolving, unprecedented deals while maintaining high standards for quality and speed.
• Extensive experience managing and directing deal teams and external counsel.
• Strong commercial judgment — capable of determining when to advocate, when to negotiate around an issue, and when to escalate matters.
• Excellent written and verbal communication skills; capable of simplifying complex contractual matters for non-lawyer stakeholders.
• Technical proficiency and robust business acumen in compute transactions, project finance, and technology and hardware procurement. We are establishing this function from the ground up, rather than inheriting it.
