VP, Legal – General Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Take charge of the complete negotiation process for intricate enterprise agreements—including Master Service Agreements (MSAs), Business Associate Agreements (BAAs), Data Processing Agreements (DPAs), and security addenda—working with major health systems and pharmacy organizations; develop scalable contract templates to empower a dynamic go-to-market team; navigate the procurement processes of large institutions without compromising deal speed; provide guidance on deal structure, risk distribution, and escalation procedures.

• Act as the company’s legal expert on HIPAA, BAAs, data privacy, and associated healthcare regulations; counsel the company on how legal and regulatory obligations influence our platform, customer interactions, and contracts; collaborate with Security, Compliance, Product, and Engineering teams to ensure adherence to relevant compliance standards; keep track of the shifting healthcare regulatory environment and proactively pinpoint legal and regulatory risks; and offer advice on liability issues, breach responses, reporting duties, and regulatory inquiries.

• Oversee continuous corporate governance and legal matters associated with the board; assist in future fundraising efforts, including coordination with external counsel on financing, cap table management, and investor agreements; maintain entity-level legal standards and corporate records.

• Collaborate with People/HR on employment agreements, offer letters, equity matters, and policy issues; provide counsel on hiring, performance management, and separation processes for a growing team; contribute to creating a legally sound, people-centric employee experience.

⛳️ Requirements

• 8-12 years of legal experience, combining top-tier law firm training with in-house experience at a rapidly growing technology company.

• Expertise in Healthcare Compliance (familiarity with HIPAA, privacy laws, and the broader regulatory landscape that health systems operate within).

• Demonstrated success in negotiating complex enterprise contracts—MSAs, BAAs, DPAs, and security addenda—with large, sophisticated counterparties; experience navigating procurement processes in health systems or similarly complex organizations is highly advantageous.

• Experience assisting venture-backed companies through financing rounds, board governance, and corporate legal affairs.

• Comfortable being the sole lawyer in the room—a pragmatic problem-solver who does not create bottlenecks; possesses strong business judgment and the ability to provide clear, actionable advice in uncertain situations.
