• Take charge of the complete negotiation process for intricate enterprise agreements—including MSAs, BAAs, DPAs, and security addenda—with major health systems and pharmacy organizations; create scalable contract templates to facilitate a dynamic GTM team; effectively navigate procurement processes within large institutions while maintaining deal momentum; provide guidance on deal structure, risk distribution, and escalation pathways.
• Act as the organization's legal authority on HIPAA, BAAs, data privacy, and associated healthcare regulations; counsel the company on how legal and regulatory obligations influence our platform, customer interactions, and contracting; collaborate with Security, Compliance, Product, and Engineering teams to ensure compliance with relevant standards; stay abreast of the changing healthcare regulatory landscape and proactively pinpoint legal and regulatory risks; offer advice on matters pertaining to liability, breach response, reporting duties, and regulatory inquiries.
• Oversee ongoing corporate governance and legal matters related to the board; aid in upcoming fundraising efforts, including working with external counsel on financing, cap table, and investor agreements; manage entity-level legal compliance and corporate documentation.
• Collaborate with People/HR on employment contracts, offer letters, equity, and policy issues; provide guidance on hiring, performance, and separation matters within a growing team; assist in creating a legally compliant, people-centric employee experience.
• 8-12 years of legal experience, combining training from a top-tier law firm and in-house experience at a rapidly growing technology company.
• Experience in Healthcare Compliance (knowledge of HIPAA, privacy, and the broader regulatory landscape governing health systems).
• A solid history of negotiating complex enterprise agreements—MSAs, BAAs, DPAs, security addenda—with large, sophisticated counterparts; experience maneuvering through institutional procurement processes within health systems or similarly intricate organizations is a significant advantage.
• Experience supporting venture-backed companies during financing rounds, board governance, and corporate legal issues.
• Comfortable being the sole attorney in discussions—a practical problem-solver, not a hindrance; possesses strong business acumen and the capability to provide clear, actionable advice amid uncertainty.
