
Vice President, Corporate Transactions – Regional Counsel

This is a fully remote position, open to applicants in Ohio.
• Act as the primary legal advisor for intricate health system and strategic partnership arrangements in areas such as emergency medicine, hospital medicine, critical care, and various other clinical service lines.
• Design, draft, negotiate, and oversee complex professional services agreements, management services agreements, joint operating arrangements, and associated healthcare transactions.
• Collaborate closely with operational and business development leaders to further enterprise growth objectives while considering legal, regulatory, and operational factors.
• Offer proactive legal advice on healthcare regulations, including Stark Law, Anti-Kickback Statute, corporate practice of medicine, and physician reimbursement issues.
• Work alongside the General Counsel and executive leadership on mergers, acquisitions, joint ventures, affiliations, financing, and other strategic corporate dealings.
• Coordinate legal due diligence and collaborate with external counsel to review and draft transaction documents.
• Provide support for post-transaction integration efforts.
• Manage the formation and organization of corporate entities and handle multi-state legal qualifications concerning MSO and physician practice operations.
• Deliver strategic legal advice on organizational growth initiatives, enterprise risk management, and the evolving landscape of healthcare regulations.
• Lead and mentor legal support staff, including the Senior Corporate Paralegal, while assisting in the development of scalable legal processes and operational efficiencies.
• Supervise the drafting, negotiation, and maintenance of ancillary agreements that support clinical and operational initiatives, including academic affiliation agreements, medical directorships, and vendor agreements.
• Assist operational leaders in navigating legal and contractual issues affecting clinical operations and physician collaborations.
• Provide strategic legal counsel for enterprise business development efforts, Requests for Proposals (RFPs), and commercial partnership opportunities.
• Draft and negotiate NDAs and other commercial contracts.
• Collaborate across functions to uncover opportunities for process enhancement, scalability, and operational optimization within legal and contracting functions.
• Serve as a trusted advisor to senior leadership by translating complex legal concepts into practical business insights and actionable solutions.
• At least 7 years of progressively responsible legal experience in healthcare law, corporate transactions, or similar in-house counsel positions.
• Proven experience in negotiating complex provider and health system agreements and managing intricate healthcare transactions.
• Previous experience advising senior executives and cross-functional business leaders in a strategic advisory role is preferred.
• Juris Doctor (JD) from an accredited law school.
• An active license and good standing with at least one state bar association.
• Strong knowledge of healthcare business models, physician services arrangements, and MSO structures.
