This is a fully remote position, open to applicants in United States.
• Act as embedded legal counsel for Product Management and Engineering throughout the product lifecycle, providing guidance on products, features, pricing, packaging, Early Access and beta programs, as well as end-of-life decisions.
• Provide advice on open source software licensing, compatibility, usage, contributions, CLAs, and compliance requirements.
• Draft and maintain legal terms for products, subscription and licensing agreements, Early Access and beta terms, fair use and acceptable use policies, and monetization documentation.
• Structure and negotiate commercial terms in agreements with customers and partners related to product licensing, cloud services, hybrid on-premise and SaaS deployments, IP ownership, indemnification, warranties, and support.
• Offer counsel on AI-driven product features, including training data provenance, output ownership, third-party model licensing, and AI regulatory requirements.
• Collaborate with GRC on product design and regulatory requirements, including software supply chain security and the EU Cyber Resilience Act.
• Support IP strategy, trademark usage guidelines, brand protection, and coordination with external counsel.
• Keep track of legal and regulatory changes impacting developer tools, open source, cloud services, and AI.
• Develop playbooks, templates, and self-service tools for Product and GTM teams.
• Report to Docker's Head of Legal and collaborate with Product, Engineering, GRC, Sales, Deal Desk, and senior executives.
• Take charge of legal reviews for product and feature launches.
• Establish legal intake and review processes for the product roadmap.
• Evaluate product terms and OSS compliance while creating improvement roadmaps.
• Lead negotiations related to assigned products and licensing.
• Create and implement resources to support product legal reviews and commercial negotiations.
• J.D. from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• Over 6 years of relevant legal experience, including significant in-house experience at a software, cloud, or developer tools company.
• Extensive knowledge of open source software licensing, copyleft and permissive licenses, compatibility analysis, and OSS governance.
• Practical experience in drafting and negotiating SaaS, software licensing, and cloud service agreements.
• Proficiency in negotiating enterprise customer IP, indemnity, and liability terms.
• Technical fluency with virtual containers, registries, CI/CD, APIs, and software supply chain security.
• Understanding of AI and LLM legal issues, including model licensing, training data considerations, and regulatory frameworks such as the EU AI Act.
• Capability to work in an AI-Native environment.
• Exceptional written and verbal communication skills.
• Strong, risk-aware judgment and practical, business-focused solutions.
• Ability to operate independently in a fast-paced, deadline-oriented setting while managing competing priorities.
• Capacity to collaborate with diverse teams and foster strong working relationships.
