This is a fully remote position, open to applicants in United States.
• Act as a reliable legal advisor on commercial transactions for senior leadership and cross-functional business partners.
• Draft, review, negotiate, and provide guidance on commercial and technology agreements, which include SaaS, vendor and customer agreements, licensing, payment processing, data-related contracts, confidentiality agreements, partnerships, and other intricate contracts.
• Lead the legal support for complex commercial negotiations.
• Offer legal advice on data privacy and security while supporting the company’s global privacy initiatives.
• Keep track of privacy, technology, and regulatory requirements, converting developments into actionable business recommendations.
• Collaborate with Sales, Finance, Technology, Product, HR, Operations, and other departments to identify legal risks and formulate practical solutions.
• Counsel business teams on contractual obligations, interpretation, compliance, and risk management.
• Assist in mergers and acquisitions, encompassing due diligence, transaction execution, integration, and corporate matters.
• Provide advice on customer disputes and collection issues, including the management of outside counsel when necessary.
• Create and enhance templates, playbooks, and contracting practices.
• Aid in contract lifecycle management and other technological aspects of the Legal department.
• Address sensitive and confidential matters with sound judgment and discretion.
• Independently manage multiple complex matters with accountability and urgency.
• Support the Chief Legal Officer & General Counsel in strategic initiatives, special projects, and other legal issues.
• Juris Doctor (JD) degree obtained from an accredited law school.
• Active membership in good standing with the bar of at least one U.S. jurisdiction.
• 8–10+ years of progressively responsible legal experience, with notable in-house experience strongly preferred.
• Experience in supporting a SaaS, software, technology, or similarly intricate business environment.
• Extensive experience in drafting and negotiating sophisticated commercial and technology transactions.
• Strong expertise in SaaS agreements, software licensing, data privacy, data security, and legal issues related to technology.
• Experience advising senior executives and business leaders on complex legal, commercial, and risk-related matters.
• Background in supporting M&A transactions, corporate matters, litigation, or regulatory compliance is highly preferred.
• A combination of experience from a top-tier law firm and in-house technology/SaaS is preferred.
• Exceptional legal judgment with the ability to deliver clear, actionable recommendations.
• Strong business acumen and understanding of commercial and strategic goals.
• Executive presence and credibility with senior leadership.
