Corporate Counsel – Commercial Transactions, Privacy

This is a fully remote position, open to applicants in United States.

📋 Description

• Act as a reliable legal and business advisor, providing support to SAI360's commercial operations across North America and, when necessary, internationally.

• Collaborate closely with the Global Head of Legal and work in partnership with Sales, Finance, Product, Information Security, Customer Success, Human Resources, and executive leadership.

• Draft, review, and negotiate a variety of agreements, including customer, reseller, partner, vendor, licensing, SaaS, and professional services contracts.

• Negotiate Data Processing Agreements, Business Associate Agreements, Non-Disclosure Agreements, and terms related to information security.

• Identify practical, commercially viable solutions while effectively managing legal risks.

• Offer legal counsel on privacy, artificial intelligence, cybersecurity, regulatory compliance, and other emerging legal challenges.

• Assist with corporate governance, employment, vendor relations, operational matters, and other general corporate legal issues.

• Create, maintain, and enhance contract templates, negotiation strategies, and legal processes.

• Oversee outside counsel, consultants, and other external legal resources as needed.

• Independently handle assigned matters and appropriately escalate significant legal, commercial, or strategic concerns.

• Support strategic legal initiatives and other mission-critical projects.

• Foster collaborative relationships across business functions and with executive leadership.

• Provide timely, thoughtful, and business-oriented legal guidance that aligns with company goals.

• Seek opportunities to enhance legal processes, templates, and operational efficiency.

• Contribute to a collaborative culture within the Legal team.

⛳️ Requirements

• Juris Doctor degree from an accredited law school.

• Active law license in at least one U.S. jurisdiction and in good standing.

• Experience in negotiating commercial agreements in a SaaS, software, technology, cloud services, or related commercial technology setting.

• Capability to independently manage commercial transactions and provide practical, business-oriented legal advice.

• Preferred experience in software licensing, technology transactions, privacy, cybersecurity, or information security matters.

• Exceptional written, verbal, negotiation, and interpersonal communication skills.

• Ability to convey complex legal concepts in clear, practical business language.

• Strong organizational and analytical abilities.

• Competence in managing multiple matters while exercising sound judgment.
