This is a fully remote position, open to applicants in Utah.
• Deliver precise, pertinent, and timely advice on legal matters that impact or may impact the business.
• Act on behalf of AAPC in legal issues and other business-related interests.
• Identify, oversee, and enhance the utilization of external legal counsel.
• Draft, assess, and negotiate commercial contracts and agreements with employees, clients, partners, vendors, institutions, and government entities.
• Coordinate and provide support for corporate governance issues involving the Board of Directors, lenders, regulatory agencies, and financial institutions.
• Attend Board meetings and assist in preparing Board minutes and resolutions.
• Manage and mitigate legal risks through the implementation of company policies, procedures, and best practices.
• Ensure adherence to domestic and international laws and regulations relevant to the business.
• Offer legal guidance on employment law, mergers and acquisitions, and compliance matters.
• Keep track of legislative changes that may affect the business and industry.
• Safeguard the confidentiality of sensitive and protected information.
• Report directly to the CEO, participate in the Executive Management Team, and lead AAPC’s corporate legal function across various departments.
• J.D. degree is mandatory.
• Must be a licensed and active member of the Utah bar in good standing.
• A minimum of 7 years of legal experience as in-house counsel is required.
• Extensive experience in all aspects of business/corporate law.
• Background in the healthcare and/or education sectors is advantageous.
• Excellent analytical and problem-solving abilities.
• Exceptional communication skills.
• Capable of quickly identifying optimal solutions to intricate issues.
• Highly organized and dedicated.
• Ability to excel in a fast-paced environment and manage multiple projects simultaneously under tight deadlines.
• Legally authorized to work in the United States.
