This is a fully remote position, open to applicants in Connecticut.

📋 Description

• Act as a vital partner in legal operations and corporate governance, providing support to the Chief Legal Officer and collaborating with cross-functional stakeholders throughout the organization.

• Take charge of complex legal and corporate issues, enhance processes, and deliver strategic assistance on contracts, entity management, and regulatory compliance.

• Oversee the administration and improvement of contract lifecycle management processes and systems, including LinkSquares, to boost efficiency, visibility, and compliance.

• Supervise the drafting, review, tracking, execution, and upkeep of a variety of agreements, ensuring compliance with organizational policies and legal standards.

• Perform in-depth contract analysis, pinpoint legal and business risks, and propose practical solutions to mitigate exposure.

• Aid and engage in contract negotiations, including Non-Disclosure Agreements (NDAs), employment agreements, vendor contracts, amendments, and other commercial agreements.

• Function as a reliable legal resource for business stakeholders, collaborating across departments to ensure that contractual obligations align with organizational goals and regulatory requirements.

• Carry out advanced legal research and analysis, converting findings into actionable recommendations for legal counsel and business leaders.

• Assist the Chief Legal Officer with legal project management, strategic initiatives, fact-finding, due diligence, and complex legal analyses.

• Prepare, review, and file corporate governance documents, such as articles of incorporation, articles of organization, bylaws, operating agreements, board consents, resolutions, and related records.

• Maintain and manage corporate records, governance databases, organizational charts, and legal document repositories to ensure accuracy, accessibility, and compliance.

• Organize annual reporting, business licensing, "doing business as" (DBA) filings, state registrations, and other corporate compliance obligations.

• Handle entity governance documentation and support board and committee activities by preparing materials, meeting records, and related filings.

• Track and maintain intellectual property portfolios, including trademarks, copyrights, licenses, and related renewal requirements.

• Compose legal correspondence and communicate directly with outside counsel, regulators, business partners, and external stakeholders regarding legal and contractual matters.

• Recognize opportunities to enhance legal operations and implement scalable processes, templates, workflows, and best practices to improve organizational effectiveness.

• Support internal compliance initiatives, audits, and regulatory reviews as necessary.

• Create executive-level presentations, reports, and analyses to aid decision-making by senior leadership.

• Operate as a proactive, self-motivated professional who anticipates needs, solves problems independently, and drives legal matters to successful resolution.


⛳️ Requirements

• A Bachelor's degree is required; an ABA-approved Paralegal Certificate or equivalent advanced paralegal training is highly preferred.

• Over 10 years of progressive corporate paralegal experience, ideally in healthcare, life sciences, regulated industries, or similarly complex organizations.

• Proven experience in supporting senior legal executives and managing intricate corporate governance and contract administration duties.

• Extensive knowledge of corporate law, business entity management, contract law, and corporate governance practices.

• Strong background in reviewing, negotiating, and managing commercial contracts and legal agreements.

• Experience in managing contract lifecycle management (CLM) systems, preferably LinkSquares or similar platforms.

• Demonstrated capability to independently manage complex legal projects with minimal supervision.

• Exceptional skills in legal research, analytical thinking, critical thinking, and problem-solving.

• Strong organizational abilities with the capacity to prioritize competing demands and meet tight deadlines in a fast-paced environment.

• Excellent written and verbal communication skills, including the ability to effectively engage with executive leadership, outside counsel, and business stakeholders.

• A high degree of professionalism, discretion, and sound judgment when dealing with confidential and sensitive information.

• Advanced proficiency in Microsoft Office Suite and legal technology platforms.

• Detail-oriented, highly accountable, and committed to operational excellence and continuous improvement.

• A collaborative team player who thrives in a dynamic environment while also maintaining the ability to work independently and take initiative.
