This is a fully remote position, open to applicants in Ohio.
• Accountable for the preparation, organization, and maintenance of corporate records, such as board minutes, resolutions, bylaws, and organizational documents.
• Ensure adherence to corporate governance standards and facilitate annual meetings and board activities.
• Collaborate with credentialing, tax, finance, and legal teams to guarantee that all regulatory requirements are fulfilled and filings are completed punctually.
• Responsible for ensuring compliance with federal, state, and local laws and regulations.
• Work closely with legal research to monitor changes in pertinent laws and regulations.
• Partner with the general counsel in the creation and execution of corporate policies and procedures.
• Assist in the preparation, review, and management of legal documents related to mergers and acquisitions, financings, and other corporate transactions.
• Coordinate and facilitate due diligence processes, including the collection and organization of necessary documentation.
• Prepare closing checklists and support the execution of closing documents.
• Draft, review, and manage various contracts, including NDAs, vendor agreements, and Division and service line contracts.
• Create, update, and maintain contract databases, manuals, and departmental files.
• Oversee and organize legal files and databases, ensuring all documents are accurately filed and easily accessible.
• Assist with the processing of invoices for legal services.
• At least 7 years of experience as a paralegal in a law firm or corporate legal department is required.
• A paralegal certificate from an ABA-approved program and notary certification is a plus.
• Knowledge and comprehension of legal terminology, contracts, and related documents.
• Exceptional attention to detail and ability to produce highly accurate work.
• Ability to maintain a high degree of confidentiality.
• Proficient in computer skills, particularly in Word, Excel, and Adobe.
• Courteous and professional demeanor; excellent verbal and written communication abilities.
• Capability to coordinate tasks and projects with colleagues, various levels of management, and business contacts.
• Proficient use of the internet, legal research databases, and other resources for gathering and researching information.
• Competent in managing multiple tasks and coordinating various activities simultaneously.
• Basic mathematical skills including addition, subtraction, multiplication, and division.
• Able to work independently under the supervision of attorneys in the Legal Department to manage project timelines, deadlines, and renewals.
