This is a fully remote position, open to applicants in India.
• We are seeking a Sr. Manager, Corporate Development with a background in private equity, investment banking, or transaction services to assist and oversee transaction execution throughout the deal lifecycle—from valuation and diligence to post-close performance monitoring and analysis.
• **Key Responsibilities**
• - Transaction modeling - create and manage valuation models, including DCF, comparable company, precedent transactions, and LBO scenarios.
• - Pro forma analysis - generate combined-entity P&L, balance sheet, and cash flow forecasts with suitable normalization adjustments.
• - Financial diligence - oversee workstreams, collaborate with external advisors, and consolidate findings into actionable insights.
• - Pro forma modeling and QoE bridging - work with the FP&A team on combined-entity P&L, balance sheet, and cash flow forecasts.
• - Financial due diligence - normalize EBITDA, differentiate between one-time and recurring items, assess working capital, and validate management adjustments.
• - Capital structure analysis - model financing scenarios for various deal scenarios.
• - Investment memos - prepare documentation for senior leadership evaluation regarding strategic opportunities.
• - Post-close support - collaborate with the entire FP&A team on integration performance monitoring and reporting.
• - Financing & stakeholder reporting - assist with reporting requirements as needed.
• **Required Qualifications**
• - 4–7 years of experience in private equity, investment banking, transaction services, or corporate development within a sponsor-backed organization.
• - Proven experience in complex transaction modeling and financial diligence.
• - Advanced Excel modeling skills: three-statement, LBO, accretion/dilution, sources & uses.
• - Strong understanding of GAAP, adjusted EBITDA methodology, and quality-of-earnings concepts.
• - Exceptional written communication skills; capable of translating analysis into executive-ready formats.
• - Willingness to work overlapping US Eastern hours during peak transaction phases.
• - CFA designation preferred.
• **Preferred Qualifications**
• - Familiarity with B2B SaaS or data services targets.
• - Previous experience supporting US-based sponsors or sponsor-backed companies.
