Senior Legal Counsel – Wholesale Banking

This is a fully remote position, open to applicants in Pakistan.

📋 Description

• Lead and deliver expert legal guidance on intricate banking and finance transactions, which encompass bilateral and syndicated loans, structured finance, cross-border issues, specialist banking products, and multi-jurisdictional projects.

• Draft, review, and negotiate financing documentation, including agreements based on LMA, security packages, ISDA, GMRA, and CSAs.

• Provide advice on legal, regulatory, and commercial risks within Corporate & Investment Banking, International Banking, and Treasury and Capital Markets.

• Represent the bank during high-level meetings with clients, regulators, industry organizations, and internal stakeholders.

• Lead legal initiatives while overseeing timelines, resources, external counsel, consultants, and third-party advisors.

• Contribute to the development of legal policies, procedures, templates, innovation, AI, digital transformation, and initiatives related to emerging technologies.

• Keep track of legal developments and evaluate their implications for financing activities.

• Design innovative, commercially sound, and legally robust solutions in collaboration with business teams and stakeholders.

• Mentor junior legal personnel and advocate for best practices in banking and finance advice and documentation standards.

⛳️ Requirements

• A minimum of 8–10 years of post-qualification experience; external qualifications require at least 10 years in a comparable legal counsel position.

• A law degree from a recognized university or an equivalent relevant legal qualification.

• Admission to practice law in a recognized jurisdiction.

• A legal practice certificate or license.

• Extensive expertise in UAE and international banking laws and financial services regulations.

• A proven track record in handling complex, high-value financing transactions across various jurisdictions.

• Experience with intricate financing structures and regulatory frameworks.

• Experience in leading legal projects and managing timelines, resources, and stakeholder engagement.

• Strong skills in legal drafting, negotiation, research, analysis, and problem-solving.

• Profound understanding of LMA documentation.

• Knowledge of international banking and finance, corporate finance, treasury and capital markets, transaction banking, investment banking, structured and leveraged finance, financial markets, and financial services regulations.

• Capability to work independently, manage multiple priorities, and perform well under pressure.

• Strong commercial insight, along with excellent communication, interpersonal, leadership, mentoring, and multicultural collaboration abilities.

• Fluent in English; proficiency in Arabic is an advantage.

• Previous experience in a remote working role is preferably required in the external qualifications.
