This is a fully remote position, open to applicants in United States.
• Manage the daily legal operations at Dispatch as an active individual contributor.
• Take charge of commercial contracts, which includes drafting, reviewing, and negotiating Master Service Agreements (MSAs), order forms, amendments, statements of work, and multi-year enterprise contracts.
• Lead negotiations with enterprise clients and their legal, procurement, privacy, and security teams.
• Formulate positions on indemnification, liability limits, warranties, insurance, intellectual property, termination rights, and service levels.
• Collaborate with Sales and company leadership to align revenue goals, customer needs, and legal and business risks.
• Create contract templates, negotiation strategies, approval protocols, and fallback options.
• Assess and implement systems and processes for contract intake, negotiation, approval, execution, and management.
• Draft and negotiate data processing agreements, privacy clauses, and security addendums.
• Provide guidance on breach notifications, data residency, subprocessors, data retention and deletion, customer data usage, and AI-related limitations.
• Review and structure third-party data-sharing agreements.
• Collaborate with Product, Engineering, and Security on the legal ramifications of products, integrations, data flows, and AI/ML functionalities.
• Assist in enterprise security reviews and legal aspects of SOC 2, ISO 27001, and related compliance procedures.
• Offer practical legal support for routine employment matters and operational agreements.
• Identify, scope, and manage specialized outside legal counsel.
• Transition suitable tasks from outside counsel to the internal legal function.
• Report directly to the COO and contribute to the growth and scaling of the legal team over time.
• Juris Doctor (JD) degree from a prestigious law school.
• Active membership in good standing with the bar of at least one U.S. jurisdiction.
• 5 to 15 years of legal experience.
• A minimum of 3 years of in-house experience, with direct responsibility for commercial contracting.
• Law firm experience in technology transactions, commercial contracts, privacy, or a closely related practice area.
• Direct experience negotiating MSAs, order forms, and multi-year enterprise agreements for a B2B SaaS organization.
• Direct experience negotiating Data Processing Agreements (DPAs) and security addendums, including breach notifications, data residency, subprocessors, data retention and deletion, and restrictions on AI usage and model training.
• Experience in reviewing and structuring third-party data-sharing arrangements.
• General employment law knowledge, covering offer letters, contractor and consulting agreements, and employee separations.
• Experience in determining when specialized legal advice is necessary and managing outside counsel.
• Experience at a company with fewer than 250 employees at the time of joining, or at a Series C or earlier stage.
• Strong business judgment with the ability to differentiate between material and theoretical risks.
• Capability to work independently, prioritize competing demands, and deliver clear recommendations.
• Must be legally authorized to work in the United States.
