This is a fully remote position, open to applicants in California.
• Prepare transaction documentation and oversee the closing processes and conditions precedent for intricate project financing transactions.
• Engage in back-leverage debt, term debt, subordinated debt, asset-backed securitizations, tax equity, and ITC transfer transactions, structured as extensive portfolio financings of distributed generation assets.
• Manage corporate approvals and disclosures associated with project financing transactions.
• Draft resolutions, operating agreements, and affiliate contracts.
• Collaborate with executive and board members for transaction approvals.
• Supervise and direct legal due diligence activities.
• Collaborate with legal and business teams to address investor inquiries, including KYC, corporate governance, and consumer protection compliance due diligence.
• Offer practical, impactful, solution-focused legal counsel to non-legal business associates.
• Lead the structuring, negotiation, and closing of complex, high-value transactions.
• Provide guidance to executive stakeholders and manage external legal counsel on multi-million-dollar agreements.
• J.D. degree from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• At least 4+ years of focused, top-tier legal experience, predominantly in Project Finance.
• Strong emphasis on renewable energy financing transactions, including portfolio financing frameworks.
• Demonstrated capability to independently manage multiple complex, high-value transactions from term sheet through to closing within tight deadlines.
• Outstanding strategic thinking, analytical, negotiation, and problem-solving abilities.
• Capacity to communicate intricate legal matters clearly and effectively to executive leadership.
• Proficiency in leveraging AI tools to boost productivity and optimize workflows, or a flexible mindset and eagerness to quickly learn new AI technologies.
• Ability to perform standard office duties.
• Competence in operating office equipment, including computers, and ensuring the accuracy of work.
• Skill in engaging and participating in meetings.
