This is a fully remote position, open to applicants in Poland.
• Take ownership of legal processes from start to finish, creating and enhancing scalable legal workflows.
• Oversee company incorporations and ongoing corporate maintenance across various jurisdictions, including the UK, Cyprus, the EU, Estonia, Poland, Latvia, and others.
• Draft, review, negotiate, and manage a wide array of commercial agreements, such as service agreements, white-label agreements, licensing agreements, partnership agreements, customer agreements, and other commercial contracts.
• Ensure adherence to applicable UK and EU fintech and financial services regulations.
• Assist in financial licensing processes while maintaining relationships with banks and financial institutions.
• Handle intellectual property issues, including trademarks and the Cyprus IP Box regime.
• Support M&A activities, which includes legal due diligence, transaction documentation, and coordination with external advisors.
• Identify legal and regulatory risks and offer practical, business-oriented legal advice.
• Keep precise corporate records and ensure legal documentation is organized and current.
• Work collaboratively with external law firms, corporate secretaries, accountants, auditors, regulators, and other stakeholders.
• Stay informed about regulatory developments and conduct legal research across relevant jurisdictions.
• Collaborate closely with the founders, contributing to strategic decisions and driving enhancements in legal and corporate operations.
• Utilize AI tools actively to optimize legal research, drafting, document management, and daily legal tasks.
• A minimum of 5 years of experience as a Legal Counsel, Corporate Lawyer, or in a comparable role.
• A strong foundation in corporate law, commercial contracts, and regulatory compliance.
• Experience in supporting companies across multiple jurisdictions, especially the UK, Cyprus, and the EU.
• A solid understanding of fintech, payments, e-money, or broader financial services regulations.
• Practical experience with company incorporations, corporate governance, and ongoing corporate maintenance.
• Experience in assisting financial licensing processes and collaborating with banks or financial institutions.
• Proven experience managing intellectual property matters, including trademarks, with familiarity with the Cyprus IP Box regime being a significant advantage.
• Experience in facilitating M&A transactions, including legal due diligence and transaction documentation.
• Exceptional skills in contract drafting, negotiation, and legal writing.
• Capability to independently manage legal matters from initiation to completion.
• Strong analytical, problem-solving, and decision-making skills with a practical business approach.
• A proactive attitude, a strong sense of ownership, and a commitment to continuously improving processes.
• Active engagement with AI tools to enhance legal research, drafting, and operational efficiency.
• Professional working proficiency in English and Russian.
