Senior Legal Counsel, Contracts

This is a fully remote position, open to applicants in Ireland.

📋 Description

• Establish strong relationships with Sales, Deal Desk, Revenue Operations, and other business stakeholders to facilitate customer and channel transactions.

• Oversee the review, drafting, and negotiation of a diverse array of commercial agreements, such as SaaS, BaaS, software, professional services, channel agreements (including aggregator, reseller, and GSI partnerships), and NDAs.

• Offer practical, commercially-oriented legal guidance to Sales and business stakeholders, assisting in negotiations with clear, pragmatic advice while identifying, communicating, and managing significant legal, regulatory, privacy, and commercial risks, as well as advising on compliance obligations, data protection responsibilities, and internal approval processes.

• Create practical and defendable solutions for complex contractual and commercial challenges, employing sound judgement to balance risk, identify suitable mitigations, and ascertain when escalation is necessary.

• Proactively identify potential contractual, legal, or operational challenges and take timely measures to address them efficiently, minimizing the risk of disputes or delays.

• Assist in the development and continuous enhancement of contract templates, negotiation playbooks, and legal processes, and design and deliver training and awareness initiatives to promote best practices and understanding of legal risks, contracting principles, and company protocols.

• Work collaboratively with colleagues across the Legal department and contribute to fostering a positive, high-performing team culture.

⛳️ Requirements

• Qualified lawyer with substantial (10-15+ years) post-qualification experience acquired in a top law firm and/or in-house legal department, with a significant portion of in-house experience.

• Strong background in commercial contracts, ideally within a software, SaaS, cloud technology, or broader technology sector.

• Exceptional drafting, contract review, and negotiation capabilities.

• Extensive experience in negotiating complex customer and partner agreements.

• Proven ability to advise business stakeholders in a practical, concise, and commercially-driven manner.

• Experience supporting sales teams and collaborating closely with commercial stakeholders in a fast-paced environment.

• Familiarity with advising on privacy and data protection matters arising from commercial technology transactions, including customer contracting obligations related to the processing, transfer, storage, and safeguarding of data.
