This is a fully remote position, open to applicants in United States.
• Draft, review, negotiate, and finalize a diverse array of commercial contracts, such as licensing agreements, SaaS contracts, partnership agreements, and strategic alliances, ensuring advantageous terms while balancing business goals and legal risks.
• Provide comprehensive legal support for strategic transactions, acting as the main legal contact for high-stakes agreements with clients, suppliers, and partners.
• Evaluate legal and commercial risks in intricate transactions and deliver timely, business-oriented guidance with clear recommendations, practical alternatives to obstacles, and strategies to expedite contract processes.
• Collaborate with cross-functional teams, including Sales, Finance, Product, Privacy, Security, Partnership, and Procurement, to address challenges, foster partnerships, and meet business objectives.
• Create and enhance contract templates, playbooks, and supporting documentation to boost team efficiency and scalability.
• Stay updated on legal and regulatory changes pertinent to commercial contracting and convert them into actionable guidance.
• Assist in resolving disputes.
• Address other business requirements as they arise.
• Juris Doctor (J.D.) degree from an accredited law school and active bar admission (in good standing) in at least one U.S. jurisdiction.
• 3-6 years of experience in negotiating commercial contracts.
• Demonstrated success in independently leading and finalizing strategic agreements with enterprise clients, vendors, and partners.
• In-depth knowledge of technology contract terms, including licensing models, indemnification, limitation of liability, intellectual property ownership, and data protection and privacy provisions.
• Experience in creating and implementing contract playbooks, templates, and negotiation guidelines on a large scale.
• Strong business acumen with the capability to balance legal risks against commercial objectives and provide practical, actionable advice.
• Exceptional written and verbal communication skills, with the ability to clearly articulate complex legal concepts to business stakeholders.
• Proficiency in Microsoft Office Suite and Adobe Acrobat.
• Ability to juggle multiple priorities, work autonomously, and excel in a fast-paced, dynamic environment.
• Management experience is preferred.
