This is a fully remote position, open to applicants in United States.
• Offer legal counsel and oversee contracts with clients, suppliers, and business associates within the Eskenazi Portfolio, with a focus on the UK and Nordics.
• Assist with M&A and daily legal operations for the Aviation portfolio.
• Report directly to the General Counsel and collaborate closely with Aviation portfolio management as a primary legal resource.
• Aid in portfolio acquisitions, which includes conducting due diligence, negotiating transactional agreements, finalizing deals, and integrating acquired entities.
• Draft, assess, negotiate, and manage software licenses, maintenance and support services, consulting, subcontractor, project-specific, and confidentiality agreements.
• Evaluate both public and private tender submissions for compliance with company standards, policies, and procedures.
• Develop and propose contract management policies, procedures, and protocols.
• Tailor templates, create new ones, draft fresh agreements, and negotiate terms with clients and vendors.
• Foster and sustain positive relationships with business partners.
• Analyze risks linked to new and existing contracts.
• Research international jurisdictions and suggest best practices and enhancements for contract processes.
• Contribute to M&A activities, including mergers, share or asset acquisition agreements, disclosure letters, letters of intent, NDAs, board resolutions, and related documents.
• Oversee post-closing legal integration tasks.
• Support policy development and training initiatives.
• Conduct administrative tasks such as preparing board minutes and resolutions, regulatory filings, and onboarding procedures for the company.
• Provide legal guidance to relevant stakeholders.
• Perform additional duties as required.
• 8 years of experience in an international law firm or legal department.
• Must be a qualified lawyer in the UK.
• Proficiency in English is essential.
• Knowledge of Spanish, Danish, Swedish, or Italian is a plus.
• Experience in a telecommunications and/or software setting is beneficial.
• Familiarity with public procurement practices.
• Capability to interpret, draft, and negotiate agreements.
• Willingness to travel up to 10% of the time.
• Excellent verbal, written, and problem-solving abilities.
• Strong understanding of legal terminology, ethics, and integrity.
• Ability to prioritize tasks and manage time effectively.
• Proficient in handling multiple projects with varying deadlines.
• Sharp attention to detail, sound judgment, and decision-making skills.
