Senior Lawyer

This is a fully remote position, open to applicants in Ukraine, +1 more state.

📋 Description

• Lead and facilitate legal workstreams within strategic optimization and transformation initiatives across the MGID Group.

• Offer legal insights on contract management, legal budgeting, corporate and tax optimization, governance, internal controls, and operational restructuring.

• Convert complex legal advice into actionable steps, internal guidance, and business-oriented action plans.

• Oversee cross-functional projects involving Legal, Finance, Tax, HR, Compliance, Data Protection, Operations, and business units.

• Manage assigned legal projects, track progress, and document risks, dependencies, and subsequent actions.

• Create, enhance, and document internal legal processes, approval workflows, authority frameworks, contract governance protocols, signing procedures, and internal controls.

• Develop and maintain legal policies, procedures, guidelines, templates, playbooks, and process documentation.

• Assist in optimizing corporate structures, group governance, intercompany arrangements, internal service models, and corporate or tax restructuring.

• Review and draft corporate documents, internal approvals, powers of attorney, board and shareholder materials, and intercompany agreements.

• Serve as a senior legal partner to Finance, HR, Tax, Compliance, Data Protection, Operations, and business teams.

• Draft legal memoranda, risk assessments, project summaries, implementation plans, management notes, and internal guidance.

• Maintain organized project documentation and escalate significant legal, compliance, governance, or implementation risks.

⛳️ Requirements

• Bachelor’s or Master’s degree in Law.

• A minimum of seven years of legal experience in an international law firm, in-house legal department, or a combination of both.

• Proven experience supporting intricate cross-functional projects involving Legal, Finance, Tax, HR, Compliance, Data Protection, Operations, and business stakeholders.

• Strong background in legal project management, legal transformation, corporate governance, process optimization, or legal operations.

• Experience in corporate structuring, group governance, intercompany arrangements, internal approvals, authority frameworks, or corporate and tax optimization projects.

• Proficient in legal drafting, contract review, and legal risk assessment.

• Ability to simplify complex legal and business issues into clear, actionable recommendations.

• Skilled in preparing legal memoranda, project plans, risk assessments, policies, procedures, and management summaries.

• Solid understanding of legal risk management, internal controls, approval processes, and corporate governance principles.

• Capacity to handle multiple priorities in a dynamic international setting.

• Strong stakeholder management, communication, and project coordination abilities.

• Capable of working independently and taking charge of complex initiatives.

• Experience with contract lifecycle management or CLM implementation is advantageous.

• Familiarity with legal budgeting, cost control, or legal operations is a plus.

• Background in corporate or tax structuring and optimization projects is a plus.

• Experience in AdTech, MarTech, or another international digital business is a plus.

• Experience working with distributed international teams is a plus.

• Proficient in Ukrainian — fluent.

• Proficient in English — fluent.
