This is a fully remote position, open to applicants in Texas.
• Oversee annual compliance obligations and corresponding governance procedures for entities in EMEA, South America, and APAC, which includes preparing essential governance documents such as consents, resolutions, minutes, extracts, POAs, intercompany agreements, organizational charts, and formation documents; managing officer and director onboarding and offboarding as well as processing various statutory filings and registrations.
• Facilitate annual general meetings and board meetings, preparing notices, materials, and/or agendas as required.
• Draft authority and verification certificates.
• Address regulatory inquiries, audits, and third-party requests for information.
• Maintain and enhance records and databases accurately, including the upkeep of minute books.
• Monitor compliance deadlines, annual meeting requirements, and significant governance events across jurisdictions to identify, address, and prevent compliance shortcomings and regulatory risks.
• Participate in cross-functional entity project meetings.
• Assist with formations, dissolutions, mergers, and acquisitions.
• Oversee US registrations in all 50 states and US territories.
• Engage in the development of our entity management system, alongside ongoing database management which includes organizing, reviewing, maintaining, and auditing pertinent records and processes annually.
• Support audit requests and functions, including providing reporting summaries and tracking.
• Aid in shareholder lifecycle processes, including elections committees and facilitating share issuance/repurchase processes.
• Generate electronic files, spreadsheets, checklists, and manage the overall database for various governance activities.
• Collaborate with internal stakeholders, external counsel, and other third parties to ensure the timely completion of projects and compliance obligations.
• Stay informed on regulatory changes, monitor developments, and educate management, Governance, and Finance teams on new legal requirements and corporate best practices.
• Act as a thought leader to enhance and streamline processes, promote standardization and organization, and develop scalable solutions.
• Systematically store, monitor, and dispose of business documents and records according to Data Privacy policies.
• Conduct limited expense report and billing tasks related to the entities under supervision.
• Lead or engage in additional projects as assigned to elevate the performance of the Governance team and the overall organization.
• Bachelor's degree.
• At least 15 years of relevant experience managing US and International entity governance, either in-house or at a law firm.
• Technology-oriented, with a willingness to explore AI to enhance workflows.
• Experience collaborating with boards of directors, senior management, and cross-functional teams, with strong communication skills to effectively manage governance requirements.
• Exceptional writing, proofreading, and editing capabilities.
• Proven ability to handle multiple tasks while being detail-oriented with robust organizational skills.
• Self-driven with the capacity to complete tasks with minimal supervision.
• Excellent time management skills with the ability to prioritize tasks effectively, demonstrating adaptability to change.
• Sound judgment and a demonstrated capacity to take initiative and identify efficient processes to accomplish tasks.
• High level of integrity and discretion when dealing with confidential information.
• Strong client relationship management skills.
• Comfortable working independently and collaboratively with colleagues at all levels, including the executive team, in a friendly, professional manner.
• Ability to read, draft, and interpret basic to moderately complex legal documents.
• Proficient in Microsoft 365, particularly Word, SharePoint, Excel, PowerPoint, and Adobe Acrobat Pro.
