Senior Director, Corporate Counsel

This is a fully remote position, open to applicants in United States, +1 more country.

📋 Description

• Manage the Corporate Legal function at 1Password, providing strategic legal counsel.

• Facilitate growth initiatives, mergers and acquisitions, international expansion, financing activities, and governance for corporate and subsidiary entities.

• Supervise compliance, equity, litigation, intellectual property, and marketing legal matters.

• Direct legal processes related to mergers and acquisitions, including due diligence, negotiations, transaction document drafting and review, and coordination with advisors and stakeholders.

• Provide guidance on legal implications and regulatory standards for international operations and expansion.

• Oversee corporate entities, documentation, governance processes, and global subsidiaries.

• Create and implement corporate policies and procedures.

• Collaborate with the Finance team on insurance renewals, tax planning, financial statements, employee equity, commission plans, and strategic initiatives.

• Evaluate marketing materials and advise on compliance obligations.

• Design and deliver compliance training for employees.

• Assess organizational legal risks and formulate strategies for mitigation.

• Handle litigation and dispute resolution cases, including oversight of external counsel and case strategies.

• Manage the intellectual property portfolio encompassing trademarks, copyrights, and patents.

• Act as a trusted legal advisor to business leaders.

• Report directly to the VP, Legal & General Counsel.

• Collaborate with Finance, Marketing, People, Corporate Development, and other business divisions.

⛳️ Requirements

• Juris Doctor degree.

• Active bar membership in Canada or the United States.

• Minimum of 10 years of relevant corporate legal experience.

• Background at a nationally recognized law firm.

• Experience leading or supporting mergers and acquisitions, including due diligence, negotiations, transaction documentation, and post-closing integration.

• Strong understanding of corporate governance, securities laws, and entity management.

• Experience in preparing for or managing public company compliance.

• Expertise in advising on international expansion, subsidiary formation, and regulatory requirements across various jurisdictions.

• Experience in supporting financing transactions and ensuring related securities law compliance.

• Ability to identify legal and business risks and craft practical mitigation strategies.

• Experience managing external counsel and coordinating cross-functional teams on complex legal issues.

• Exceptional judgment, communication skills (both written and verbal), and attention to detail.

• Capability to prioritize competing tasks independently while upholding high execution standards.

• Experience in technology or SaaS industries is preferred.
