
Senior Counsel, Shareholder Litigation

This is a fully remote position, open to applicants in United States.
• Oversee the daily management of securities class actions initiated under the Securities Act of 1933 and the Securities Exchange Act of 1934, encompassing pleadings strategy, discovery, motions practice, expert involvement, and settlement discussions.
• Direct the defense of shareholder derivative lawsuits, including pre-suit demand letters and related matters.
• Collaborate cross-functionally with corporate and commercial legal teams on a range of issues, including public company filings.
• Manage and guide external litigation counsel from the inception of cases to their conclusion, covering pleadings strategy, discovery, motions practice, expert involvement, and settlement discussions.
• Stay informed on developments in corporate law and other pertinent jurisdictions, proactively advising on how new case law may impact the company's governance structures, disclosure practices, or litigation strategies.
• Establish and nurture relationships with D&O insurance carriers and brokers to oversee the claims process.
• 7+ years of litigation experience, with substantial involvement in securities class actions, shareholder derivative litigation, or related complex civil litigation at a top law firm and/or in-house.
• Extensive knowledge of corporate law, including fiduciary duty standards and the Securities Laws.
• Experience litigating in the Delaware Chancery Court.
• Well-versed in the Private Securities Litigation Reform Act (PSLRA), relevant pleading standards, and the procedural landscape for securities class actions in federal court.
• Proven ability to strategically manage outside counsel and efficiently resolve high-stakes litigation, including experience with D&O insurance structures and coverage.
• Juris Doctor from an accredited law school and active membership in a US state bar in good standing.
• Employs generative AI responsibly, ensuring human oversight to produce business-ready outputs and enhance workflow efficiency, cost-effectiveness, and quality.
• Total compensation may include equity, bonus eligibility, and benefits (medical, dental, vision, 401(k)).
