This is a fully remote position, open to applicants anywhere in the world.
• Acts as a key internal expert on the laws and regulations that govern charitable exempt organizations within the designated portfolio, encompassing grantmaking practices, partner due diligence, tax-exempt and charitable compliance, as well as compliant investment portfolios and programs.
• Provides counsel to executive leadership and Tides staff on intricate legal grantmaking issues (including grants from DAFs, international grantmaking, and grants to non-501(c)(3) entities) and investment queries, offering recommendations for solutions, risk mitigations, and determining appropriate escalation paths.
• Oversees the legal vetting process for new and existing service offerings and programs at Tides Foundation, including Tides-led initiatives, DAFs, and various philanthropic giving and investment vehicles, identifying, investigating, and resolving legal challenges while upholding Tides’ mission.
• Reviews and negotiates daily contracts, primarily those executed by Tides Foundation, as well as complex contracts, grant agreements, and investment and fund offerings, including terms and conditions; leads the development and refinement of Tides' legal documents, template libraries, and legal and operational policies.
• Responds to subpoenas, legal inquiries, and investigations, managing collaboration with outside counsel as required; tracks and reports on ongoing matters and prepares privileged memoranda on significant issues.
• Juris Doctor and California law license or in-house counsel registration is mandatory.
• At least 8 years of direct experience in charitable sector law (nonprofit tax, fiscal sponsorship, exempt organization compliance, and/or election and advocacy law).
• Familiarity with mission-related and program-related investment programs, including pertinent regulations. Experience with registered investment advisor services is an advantage.
• Essential experience advising nonprofit organizations on compliance program structure and policy.
• Significant experience with fiscal sponsorship, intermediary, or multi-entity nonprofit structures is strongly preferred.
