This is a fully remote position, open to applicants in United States.
• Manage the complete lifecycle of partnership, data licensing, and API access agreements — from the initial term sheet to execution — utilizing AI-assisted drafting and review tools to ensure standard agreements progress through the pipeline without delays.
• Leverage Claude and Ironclad AI for initial analysis of incoming redlines, pre-fill TRM's standard negotiation positions, and significantly reduce per-contract review time — allowing attorneys to focus on deals that require substantial judgment.
• Develop and sustain AI-driven contract playbooks and self-service templates for common partnership deal frameworks, empowering the Partnerships team to advance discussions without waiting on legal input.
• Provide guidance on data utilization, IP ownership, exclusivity, and liability frameworks in data-sharing and integration partnerships — structuring agreements that are both legally sound and commercially viable.
• Act as the embedded legal partner for Partnerships, proactively spotting legal risks before they hinder deals and sustaining deal momentum throughout every phase of a transaction.
• Collaborate with external counsel on intricate or high-value transactions and contribute to enhancing TRM's legal function as the organization grows.
• J.D. from an accredited law school and active membership in at least one U.S. state bar.
• 6–8 years of legal experience, with substantial involvement in commercial contract negotiation; experience divided between a leading law firm and in-house at a technology firm is preferred.
• Proven expertise in drafting and negotiating partnership agreements, data licensing agreements, and API access agreements.
• Strong business acumen — you comprehend the deal economics, not just the legal terms, and you present trade-offs in a way that enables Partnerships to make swift decisions.
• Proficiency with AI tools (Claude, Ironclad AI, Gemini, or similar) and a demonstrated commitment to incorporating AI into everyday legal workflows.
• Familiarity with CLM tools and SFDC (e.g., Ironclad).
• Previous in-house experience at a technology company, ideally in a business development, partnerships, or commercial legal function.
• Understanding of global data privacy regulations (GDPR, CCPA) as they relate to commercial and data-sharing agreements.
• Capacity to manage a high volume of matters concurrently with minimal oversight, under tight deadlines while maintaining rigor and deal momentum.
• Clear and direct communicator who can simplify legal complexities for non-lawyer stakeholders.
