This is a fully remote position, open to applicants in United States.
• Oversee federal government contracting as a legal expert specializing in the commercial and compliance aspects of Amwell's federal contracts, including prime contracts, subcontracts, flow-down requirements, and program compliance duties.
• Prepare and negotiate commercial agreements. Manage time-sensitive contracts with U.S. and international clients, partners, vendors, and healthcare providers, encompassing SaaS, software licensing, clinical services, professional services, business associate agreements, reseller agreements, and data protection agreements.
• Act as a trusted advisor to the business. Assist stakeholders in evaluating contract structure, risk distribution, procurement needs, healthcare regulatory factors, privacy and data conditions, and operational commitments—translating these elements into clear, actionable guidance.
• Assist with RFI/RFP submissions. Conduct legal and compliance assessments of customer proposals, including government procurement documentation, certifications, contractual exceptions, and risk evaluations.
• Ensure compliance. Participate in regulatory and compliance tasks and special projects—particularly at the intersection of commercial, healthcare, privacy, and government program requirements.
• Address employment issues. Collaborate with HR and the Head of Legal on employment and separation agreements, workplace policies, and daily employment inquiries that arise in a growing organization.
• Provide support for disputes and litigation. Help manage litigation holds, gather pertinent information, coordinate with internal teams, external parties, and outside counsel, assist with discovery and subpoenas, and contribute to legal risk assessment and settlement strategies.
• Collaborate across the organization. Work with cross-functional teams to secure approvals on non-standard terms, participate in deal desk reviews, and ensure our commitments are accurately documented and feasible to fulfill.
• Improve processes continuously. Contribute to the development of our contract templates, playbooks, processes, compliance controls, and self-service tools to enhance team efficiency over time.
• Familiarize yourself with our operations. Develop a comprehensive understanding of Amwell's healthcare technology platform, product roadmap, and provider services model to provide advice that is informed by actual business practices.
• A J.D. from an ABA-accredited law school and active membership in good standing with at least one U.S. state bar.
• Six to ten years or more of pertinent legal experience, with significant involvement in commercial contracting.
• In-depth experience with federal, state, or local government contracting—including procurement requirements, flow-down clauses, subcontracting, compliance responsibilities, public-sector RFPs, and regulated program support.
• Proven track record in drafting and negotiating a variety of agreements (technology, SaaS, software licensing, healthcare provider services, business associate, data protection, and professional services).
• Strong practical judgment: the ability to identify critical issues, articulate them clearly to non-lawyers, and propose sensible solutions.
• Excellent organizational skills and attention to detail, with a talent for managing complex contract, compliance, and stakeholder requirements.
