This is a fully remote position, open to applicants in Portugal, +4 more states.
• Oversee governance and structural decisions for each new direct entity launch, encompassing corporate form, ownership structure, and licensing pathways.
• Facilitate the practical establishment of new entities by coordinating filings, registered agents, local service providers, appointments of directors and officers, bank accounts, licensing documentation, and other related launch activities.
• Perform jurisdiction-specific legal and regulatory research.
• Prepare, review, and maintain formation documents, board minutes, governance policies, and powers of attorney.
• Collaborate with Legal, Finance, Operations, People, Payroll, and Treasury to prioritize and mitigate risks associated with entity launches.
• Recognize governance, licensing, and regulatory risks, and create practical business solutions.
• Document repeatable processes for entity formation and governance playbooks to facilitate handoff to the legal entity management team.
• Contribute to Oyster’s global employment platform by assisting companies in hiring, compensating, and supporting talent worldwide.
• Licensed attorney authorized to practice law in the relevant jurisdiction.
• Over 7 years of experience in corporate governance, entity formation, and multi-jurisdictional entity management.
• Proven experience in establishing and maintaining corporate entities across various jurisdictions.
• Practical experience with filings, registered agents, licensing applications, and similar execution tasks.
• Experience collaborating directly with external counsel, corporate secretarial providers, regulators, and registered agents across multiple jurisdictions.
• Comfortable holding a power of attorney to represent company directors and officers.
• Ability to work independently on a fast-paced, ambiguous, and high-stakes project.
• Availability for an 11-month fixed-term engagement.
• Strong judgment in translating legal and regulatory requirements into actionable execution plans.
• Experience in fast-paced, high-growth, or startup environments.
• Reliable home internet connection.
• Proficiency in written and spoken English.
• Bonus: Experience with EOR/PEO or global HR platforms.
• Bonus: Experience in developing governance playbooks or processes.
• Bonus: Project management experience for multi-jurisdictional entity setups.
• Bonus: Familiarity with Klea or similar governance tools, Notion, and Asana.
