This is a fully remote position, open to applicants in United States.
• Provide guidance to sales executives, senior leaders, and cross-functional teams regarding legal risks, compliance, and business strategy.
• Offer legal assistance for intricate sales transactions spanning product lines, platforms, and both direct and indirect formats.
• Articulate complex legal concepts, risks, and the Company's stance to both internal and external audiences.
• Proactively identify and address conflicts or objections from peers and senior staff.
• Recognize and potentially spearhead training, guidance, and enablement initiatives for sales and internal business partners.
• Draft, review, and negotiate commercial agreements including SaaS, licensing, professional services, NDAs, DPAs, and BAAs.
• Enhance contract templates, playbooks, and processes through benchmarking and analyzing customer interactions.
• Facilitate deal velocity while balancing legal and commercial risks.
• Address escalated legal issues with minimal oversight and manage outside counsel as necessary.
• Act as a subject matter expert for designated legal areas and foresee potential risks.
• Collaborate with Deal Desk, Revenue Operations, IT, Product Engineering, and other stakeholders to promote compliance and expedite deal velocity.
• Lead initiatives that enhance legal workflows, compliance processes, internal policies, and governance frameworks.
• Licensed attorney authorized to practice in one or more states in the United States.
• Member in good standing of one or more state Bars.
• Valid license to practice law within the employed state.
• Over 7 years of experience as in-house counsel.
• Extensive experience in the software licensing industry across various licensing models, products, and services.
• Familiarity with enterprise transactions, on-premises licensing, SaaS/cloud offerings, and AI.
• In-depth knowledge of data privacy, security requirements, and relevant laws and regulations.
• Understanding of internal controls, procedures, risk monitoring, dispute resolution, and escalation processes.
• Proficient knowledge of revenue recognition rules and a capability to ensure agreements align with current regulations and company policies.
• Exceptional oral, written, presentation, and interpersonal communication abilities.
• Strong negotiation skills.
• Capacity to clearly and succinctly convey complex legal issues and solutions.
• Demonstrated analytical, time management, and problem-solving capabilities.
• Strong ethical standards and dedication to professional responsibility.
• Aptitude for managing competing priorities and working independently under tight deadlines.
• Ability to function as an independent self-starter in a fast-paced, results-driven environment.
• Passion for utilizing and learning AI tools in daily legal responsibilities.
• This position involves access to software/technology subject to U.S. export controls; employment is contingent on the ability to comply with those controls.
