Senior Counsel – Commercial Contracts, Partnerships

This is a fully remote position, open to applicants in California.

📋 Description

• Provide legal guidance throughout Midi’s commercial framework.

• Manage a diverse portfolio of agreements, including payor, strategic partnerships, enterprise commercial, vendor, marketing, and influencer contracts.

• Act as a primary legal advisor to leadership in Commercial, Payor, Marketing, Finance, Clinical, Product, and Operations departments.

• Draft, review, negotiate, and oversee commercial contracts, such as master services agreements, statements of work, order forms, and other transactional documentation.

• Counsel internal stakeholders on contract structuring, risk distribution, necessary approvals, escalation processes, and implementation obligations.

⛳️ Requirements

• Juris Doctor (J.D.) from an accredited law school and current membership in good standing with at least one U.S. state bar (California bar preferred).

• Over 8 years of legal practice experience with a significant focus on drafting and negotiating commercial agreements.

• Relevant healthcare legal experience advising a healthcare provider, digital health enterprise, telehealth organization, health plan, healthcare services firm, or healthcare-oriented law practice.

• Background in both law firm and in-house legal department settings (ideally with experience in both).

• Extensive experience in at least three of the following areas: payor agreements, strategic partnerships, vendor contracts, SaaS agreements, professional services, marketing agreements, influencer agreements, Data Processing Agreements (DPAs), or Business Associate Agreements (BAAs).

• Competence in utilizing legal technology and artificial intelligence tools responsibly to improve efficiency and accuracy in drafting.
