This is a fully remote position, open to applicants in United States.
• Prepare, assess, and negotiate intricate business-critical commercial agreements, such as MSAs, SOWs, supply, development/manufacturing/services, quality agreements, and NDAs.
• Counsel and report to senior management regarding legal and regulatory challenges impacting CDMO/Life Sciences operations.
• Recommend risk-reduction strategies and formulate contractual language to lessen risk.
• Serve as the primary legal advisor and thought leader in executive discussions and with both internal and external decision-makers.
• Establish long-term legal strategies and frameworks that shape strategic objectives and future products and services.
• Collaborate with Commercial and Program teams on strategic, high-value partnerships and proposals.
• Facilitate issue resolution to ensure timely deal closure and sustainable, customer-centric results.
• Independently manage a high-volume, complex caseload while keeping stakeholders informed of progress and positions.
• Offer guidance on non-contentious intellectual property matters and develop IP allocation standards for platform agreements.
• Create and implement legal training and playbooks across various functions and regions.
• Enhance legal processes, templates, CLM, and data insights through ongoing improvement initiatives.
• Engage and supervise outside counsel in accordance with budgets and guidelines.
• Aid in dispute avoidance and resolution, and provide insights on corporate matters and transactions.
• Contribute to policy development, compliance program implementation, and cross-group alignment with UK, Denmark, US, and global FUJIFILM Legal/Compliance.
• Bachelor’s degree and Juris Doctor from an accredited law school.
• Admitted to practice in at least one state bar in good standing; North Carolina admission preferred.
• 8–12 years of relevant experience in a corporate law firm and/or an in-house legal department within CDMO, Life Sciences/Pharma, or healthcare.
• In-depth understanding of commercial law, contracting theory/practice, and legal design.
• Principal-level advisory skills with strong judgment and the capacity to address critical issues with limited information.
• Exceptional negotiation and executive communication abilities.
• Strong analytical, pragmatic, and customer-oriented problem-solving skills.
• Proven ability to collaborate within matrixed/global environments.
• Knowledge of life sciences compliance topics, including data privacy/GDPR, competition, and anti-bribery laws.
• Familiarity with international contracting and multi-jurisdictional risk evaluations.
• Proficient in modern legal technology, including document management, e-signature, CLM, and collaboration tools.
