Senior Counsel

This is a fully remote position, open to applicants in Maryland.

📋 Description

• Deliver legal assistance in areas of corporate governance, securities compliance, and mergers and acquisitions activities.

• Counsel the Board of Directors, board committees, and senior management on issues related to corporate governance.

• Aid in the preparation and examination of SEC filings and associated disclosures.

• Ensure compliance with securities law under the Securities Act of 1933.

• Oversee compliance and filings for Emergent subsidiaries.

• Facilitate domestic and international M&A transactions from initiation to conclusion.

• Offer general corporate legal support throughout the organization.

⛳️ Requirements

• Juris Doctor (J.D.), authorized to practice law in the United States.

• Active membership and in good standing with a state bar.

• 6-9 years of experience in-house or within a law firm.

• Required experience with M&A transactions and general corporate affairs.

• Proven experience managing corporate subsidiaries, including those based internationally, is necessary.

• Strong technical expertise in securities law, public company reporting, and corporate governance is essential.

• Excellent drafting, analytical, and organizational abilities.
