This is a fully remote position, open to applicants in United States.
• Prepare, assess, and negotiate a diverse array of commercial agreements, including:
• Enterprise software licensing agreements (inclusive of on-premise licensing models)
• Cloud service contracts (SaaS and various other cloud solutions)
• Agreements with resellers, VARs (Value-Added Resellers), OEMs, and additional distribution partners
• Professional services contracts
• Support sales and commercial teams in negotiating contracts with clients and partners.
• Provide guidance to company stakeholders on contract formulation, risk distribution, and negotiation tactics.
• Oversee multiple negotiations concurrently within a high-volume commercial setting.
• Collaborate with sales, finance, operations, and product teams to address commercial challenges and assist in deal finalizations.
• Engage in the management of commercial disputes and escalations, coordinating with external legal counsel as required.
• At least 7 years of pertinent legal experience.
• Proven experience in negotiating contracts related to enterprise software, encompassing software licensing agreements and SaaS contracts with corporate clients.
• Experience collaborating with sales teams on negotiations with clients and partners.
• Comprehensive understanding of enterprise software licensing frameworks, including subscription and on-premise licensing models.
• Experience in negotiating agreements with resellers, VARs, OEMs, or other distribution partners is advantageous.
• Preference for in-house (corporate) experience, or law firm experience representing technology or software firms.
• Exceptional contract drafting and negotiation capabilities, with the proficiency to identify legal risks and suggest practical solutions.
• Strong communication and interpersonal abilities, with the talent to effectively advise non-legal stakeholders.
• Capacity to handle multiple matters concurrently and work autonomously in a fast-paced environment.
• Active member in good standing of a relevant bar association.
