This is a fully remote position, open to applicants in Massachusetts.
• Assume overall responsibility for swiftly reviewing the terms and conditions of all contracts to ensure they are most favorable from both legal and business perspectives.
• Draft, revise, standardize, and negotiate contracts while proactively managing various transactional matters through to final execution, including but not limited to NDAs, MSAs, SOWs, independent contractor agreements, vendor agreements, etc., with a focus on technology, SaaS, professional, and biometric services.
• Stay updated on legal and regulatory changes impacting the company, its clients, and relevant industries, synthesizing this information to integrate into the company's transactional practices.
• Serve as the point of contact for all functional areas and external partners to ensure prompt and efficient resolution of all legal matters.
• Collaborate across time zones to provide support to international colleagues and clients.
• Develop, implement, and enforce contract management software for managing requests, prioritization, drafting, reviewing, editing, execution, filing, reporting, and compliance of contracts.
• Train and inform others on various legal and compliance issues affecting the business, including life sciences regulatory matters, AI, data privacy, and security.
• Make informed decisions within the scope of responsibility, exercising independent judgment and being recognized as an interdepartmental resource.
• Conduct research on novel legal issues.
• Maintain and coordinate certain corporate records.
• Assist with all other matters as required.
• Juris Doctor (JD) degree.
• In-house corporate law experience.
• Professional experience in Technology, Software, and Clinical Trial Development/Life Sciences.
• Familiarity with AI regulations, data privacy law, employment law, intellectual property law, and corporate governance.
• Ability to safeguard the company while keeping pace with the fast business environment.
• Experience in redlining and negotiating various contracts utilizing the latest AI technology.
• Understanding of state, federal, and international data privacy and security regulations.
• Exceptional interpersonal skills and ability to communicate effectively at all levels of the organization in a high-stress, fast-paced environment.
• Demonstrated ability to take initiative beyond direct responsibilities.
• Excellent communication and writing skills are essential.
• Must exercise discretion and maintain confidentiality.
• Display a professional and positive demeanor, perceived as highly competent.
• Capable of completing a high volume of work timely and thoroughly with minimal rework.
• Ability to collaborate effectively as part of a team as well as work independently.
• Must be well-organized, detail-oriented, and able to manage multiple projects, shifting priorities, and conflicting demands in a fast-paced environment.
• Strong time management, prioritization, project management, and organizational skills.
• Possess the intellect and energy to thrive in a complex and ever-evolving environment.
• High proficiency with computer systems and software such as Microsoft Office, Adobe, Thomson Reuters Practical Law CoCounsel, LinkSquares contract management software, digital signature software, research tools, etc.
