This is a fully remote position, open to applicants in Florida.
• Prepare, review, and negotiate commercial contracts, including master services agreements, SaaS and data contracts, vendor and sourcing agreements, NDAs, business associate agreements, and statements of work.
• Assist with corporate and transactional matters, encompassing governance, entity issues, board and member resolutions, corporate documentation, financing, due diligence, execution, and integration.
• Aid the business in navigating healthcare and regulatory inquiries related to 340B, the Anti-Kickback Statute, and HIPAA compliance.
• Collaborate with business, operations, and human resources teams on everyday legal inquiries.
• Address employment law issues across a remote, multi-state workforce.
• Oversee legal risks, disputes, and demands, coordinating with outside counsel as necessary.
• Enhance legal templates, playbooks, and tools for operational efficiency.
• Keep abreast of pertinent legal and regulatory developments and offer practical advice.
• Execute additional responsibilities as assigned.
• Juris Doctor degree from an accredited law school in the U.S.
• Active bar license to practice law and maintaining good standing with a U.S. state bar.
• Generally 8–12 years of combined experience in law firms and in-house settings, with a significant in-house focus.
• Proven experience in commercial contracting, including complex, multi-party agreements.
• Exceptional written and verbal communication skills along with sound, practical business judgment.
• Strong organizational abilities and project management skills.
• Capacity to collaborate effectively with cross-functional teams in a remote environment.
• Experience in corporate governance, including board resolutions, entity matters, and financing.
• Exposure to M&A transactions.
• Familiarity with employment law.
• Background in supporting a high-growth, technology-driven, or venture/private equity-backed organization.
• Knowledge of healthcare law is advantageous but not mandatory.
• Admission to the Florida bar is preferred but not essential.
• Readiness and capability to travel to client sites, internal business meetings, and other locations as required.
