This is a fully remote position, open to applicants in United States.
• Prepare, assess, and negotiate a diverse array of commercial agreements for both customer and vendor transactions.
• Effectively oversee routine and moderately complex commercial negotiations from initiation to completion.
• Recognize significant legal and business risks while formulating practical solutions.
• Ascertain when matters can be resolved within set parameters and when escalation is necessary.
• Convert business goals and operational needs into clear contractual language.
• Collaborate with business teams to grasp transaction contexts and identify significant risks.
• Assist in designing and implementing scalable processes for contracting intake, review, approval, signature, storage, renewal, and post-execution.
• Create and maintain contract templates, clause libraries, negotiation guidelines, contracting playbooks, and escalation standards.
• Manage, enhance, and encourage the adoption of AI-driven contract lifecycle management and contract review technologies.
• Assess contracting practices and enhance workflows, documentation, reporting, approvals, and Legal team resource allocation.
• Develop metrics and reports for contract volume, cycle times, status, negotiation challenges, and renewal obligations.
• Keep accurate contract records and promote consistent usage of the contract repository and associated systems.
• Identify recurring contractual issues and propose modifications to templates, guidance, training, or business processes.
• Supervise, mentor, and develop internal contract specialists.
• Set expectations for the work of contract specialists, attorney reviews, and escalations.
• Review and provide support for the work of contract specialists.
• Report directly to the General Counsel and collaborate with Sales, Finance, Procurement, Privacy, Information Security, Technology, Product, Marketing, Human Resources, and other business units.
• Juris Doctor degree from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• Approximately 5 to 8 years of relevant legal experience, including significant responsibility for drafting and negotiating commercial agreements.
• Proven experience negotiating agreements from both customer and vendor/procurement perspectives, or sufficiently extensive commercial contracting experience.
• Substantial experience independently negotiating data processing agreements and privacy and data protection clauses in commercial contracts.
• Working knowledge of GDPR and U.S. state privacy regulations.
• Experience with a contract lifecycle management system or similar contract management technology.
• Proficiency in using AI-enabled contract review, drafting, analysis, or contract management tools.
• Experience supervising, mentoring, or directing contract specialists, paralegals, or other legal professionals.
• Ability to independently manage a significant volume of contracts with competing deadlines and varying complexities.
• Previous in-house legal experience is preferred.
• Experience in implementing, improving, or administering a contract lifecycle management system is preferred.
• Experience creating or refining contract templates, clause libraries, negotiation playbooks, approval matrices, or escalation procedures is preferred.
• Familiarity with commercial technology, intellectual property, information security, and AI-related contractual issues is preferred.
