This is a fully remote position, open to applicants in United States.
• Take charge of commercial legal tasks, alongside corporate and compliance assistance.
• Draft, review, and negotiate agreements with clients, partners, vendors, and for intercompany purposes.
• Act as the main legal contact for commercial transactions from the term sheet stage to signature and beyond.
• Develop and enhance contract templates, playbooks, and related processes.
• Collaborate with commercial, product, and leadership teams to identify legal risks and offer practical solutions.
• Assist sales and client service teams in finalizing agreements by addressing legal, compliance, and security concerns of clients.
• Provide support for regulatory and licensing requirements related to U.S. MTL/MSB and Bitlicense authorizations, as well as EU MiCA and PSD2 authorizations.
• Offer guidance on data privacy, AML/sanctions, Travel Rule, marketing, employment law, and tax law issues.
• Convert regulatory requirements into actionable advice and contract terms for internal and product teams.
• Assist with corporate governance and entity matters, including board documentation, equity and option grants, and financing.
• Manage corporate housekeeping and maintain corporate records.
• Oversee the work, expenses, and relationships of outside counsel.
• Provide weekly and on-demand updates to the Co-Founder & President regarding deals and significant legal issues.
• A law degree (JD or equivalent).
• Admission to practice or being in good standing in a relevant jurisdiction.
• 5–8 years of pertinent legal experience, either in-house or at a respected law firm.
• Strong experience in commercial contracting, including independently drafting and negotiating agreements with clients, partners, and vendors.
• Working knowledge of corporate matters, including governance, board materials, and equity/options.
• Comfort in supporting compliance and licensing requirements.
• Familiarity with crypto and/or payment products, counterparties, and regulatory environments.
• Good judgment and a practical, risk-aware mindset.
• Effective communication skills with the ability to provide clear, actionable advice to non-lawyers.
• Capability to work independently in a remote, fast-paced, early-stage setting.
• Preferred: direct experience with money transmission (MTL/MSB) and/or MiCA regulatory frameworks.
• Preferred: exposure to stablecoins, digital assets, or payment infrastructure.
• Preferred: experience as an early or first legal hire and establishing processes from the ground up.
• Preferred: support-level familiarity with licensing applications and regulatory interactions.
