This is a fully remote position, open to applicants in United States.
• Lead negotiations with customers, including drafting and managing deals globally for complex commercial software, support services, and professional services transactions involving enterprise clients.
• Collaborate with sales leadership to synchronize business needs, oversee the deal pipeline, and adhere to established timelines.
• Provide legal guidance and oversight that aligns with Delinea’s business strategy, products, operations, compliance, and risk management protocols.
• Assist in commercial transactions and M&A integration efforts.
• Work alongside cross-functional teams to address financial and operational factors.
• Partner with cybersecurity, regulatory, privacy, and compliance teams concerning assigned transactions.
• Identify and communicate key segment trends to shape commercial and operational strategies.
• Promote awareness of legal compliance and risk management practices.
• Support initiatives for process improvement, automation, legal enablement, training, and guidelines.
• Execute additional duties that support internal stakeholders and Delinea’s strategic initiatives.
• Report directly to the VP & AGC, Commercial.
• Juris Doctor (JD) from an accredited law school.
• Must be admitted and in good standing with at least one state bar in the U.S.
• Over 15 years of legal experience in business and transactional law within the technology sector.
• More than 10 years of direct experience in managing and negotiating large, complex software, SaaS, and related technology sales transactions with global enterprise clients.
• Previous in-house experience is mandatory.
• Extensive experience in providing legal counsel and steering SaaS and software transaction negotiations to conclusion.
• Proficiency in software licensing, SaaS agreements, terms of use, enterprise agreements, evaluations and trials, professional services, strategic ventures, distributor contracts, and partner/alliance agreements.
• Strong understanding of global legal aspects related to B2B software licensing and SaaS, including international commercial laws, cross-border transactions, intellectual property rights, data privacy and security, and commercial rights and remedies.
• Exceptional strategic thinking, analytical capabilities, and meticulous attention to detail.
• Ability to work autonomously, assess risks and options, and make informed decisions in uncertain situations.
• Skilled in prioritizing tasks and working independently with urgency and flexibility.
