This is a fully remote position, open to applicants in United States.
• Take ownership of the entire contract lifecycle for customer and vendor agreements: drafting, negotiation, redlining, and execution from the initial term sheet to signature and integration with Beacon systems.
• Conduct negotiations for pharmaceutical and biopharmaceutical collaboration agreements, clinical trial services agreements, as well as data licensing and RWD/RWE agreements.
• Lead negotiations related to SaaS and platform subscription agreements, licensing agreements, device supply agreements, and partnerships with health systems and academic medical centers.
• Support the commercialization of Beacon’s FDA-cleared Waveband and SleepView devices through supply, distribution, and reseller agreements.
• Negotiate and manage contracts with suppliers and vendors, including HIPAA business associate agreements.
• Act as a subject-matter expert on data rights pertaining to EEG, sleep, and other clinical data.
• Utilize working knowledge of privacy regulations to identify contract issues and escalate concerns to the General Counsel.
• Develop, maintain, and enhance contract templates, playbooks, and negotiation strategies.
• Oversee the contract repository and tracking process, including managing renewals, milestones, and expirations.
• Collaborate across the organization to ensure deals progress smoothly.
• Provide clear, plain-English guidance to non-lawyers regarding contract terms and associated risks.
• 5–8+ years of experience negotiating commercial agreements in-house, at a law firm, or in a paralegal/contracts capacity within a life sciences, health tech, or SaaS company.
• Proven experience in independently negotiating customer-facing commercial agreements (SaaS, services, or life sciences collaboration agreements) from the initial draft to signature.
• Strong understanding of data rights, including data ownership, license scope, usage restrictions, and how these terms influence commercial value.
• Familiarity with HIPAA and GDPR issues as they pertain to commercial contracts.
• Exceptional contract drafting abilities and a straightforward, plain-English negotiation approach.
• Ability to work independently and report directly to the General Counsel within a streamlined legal function.
