This is a fully remote position, open to applicants in United States.
• Draft, negotiate, and oversee a diverse array of commercial and government agreements, including enterprise SaaS and data contracts, business associate agreements, data processing agreements, strategic partnerships, vendor contracts, and others.
• Engage directly with large enterprise clients, government entities, and strategic partners, balancing the urgency of closing deals with careful risk management.
• Acquire comprehensive knowledge of Truven's products, business model, strategy, and culture to provide practical and actionable legal guidance that aligns with the business's objectives.
• Counsel product teams on privacy issues, ensuring compliance with relevant laws and regulations, privacy policies, and procedures, with a strong emphasis on risk mitigation strategies.
• Provide guidance on privacy, data governance, and emerging technology projects, including artificial intelligence, to identify and address privacy and commercial risks while promoting responsible innovation across all units within Merative.
• Foster strong relationships with leadership, internal stakeholders, and external partners to promote both business and legal objectives, and to collaborate on the creation of new products, technologies, markets, and privacy compliance.
• Aid in developing more efficient processes to enhance contracting scalability and ensure compliance.
• Collaborate with existing contract management systems and processes, identifying, implementing, and supporting enhancements.
• Perform additional duties and responsibilities as required, requested, or assigned.
• J.D. from an ABA-accredited law school and eligibility to practice law in-house in your state of residence/work (or ability to obtain this promptly).
• Over 3 years of relevant experience (from a law firm and/or in-house) supporting commercial, product, technology, and/or regulated industry operations.
• Exceptional drafting and negotiation abilities with a proven history of advancing deals and finalizing complex agreements.
• A pragmatic, business-oriented approach: able to identify risks, articulate them clearly, and suggest alternatives that allow teams to move forward effectively.
• Comfort in a dynamic environment with multiple stakeholders, changing priorities, and tight deadlines, all while maintaining attention to detail.
• Outstanding communication and relationship-building skills; able to collaborate effectively with Sales, Product, Engineering/Security, and Operations teams.
• Familiarity with data privacy principles and the capability to support privacy-focused contracting (e.g., DPAs, BAAs, data use terms) and product privacy compliance.
• Experience in health tech, data, SaaS, analytics, AI, or other emerging technologies within a regulated context.
• Experience with government clients, public sector procurement, and/or flow-down requirements is advantageous.
• Familiarity with OneTrust or similar privacy compliance platforms is a plus.
