This is a fully remote position, open to applicants in United States.
• Assist attorneys in preparing, reviewing, and organizing documentation for structured finance transactions, such as securitizations, warehouse facilities, and forward flows.
• Oversee checklists, closing deliverables, and electronic transaction binders.
• Draft resolutions, certificates, and other governance documents for GoodLeap entities.
• Aid in maintaining compliance with contractual and regulatory requirements.
• Create, update, and manage trackers using AI tools for transaction terms, reporting obligations, covenants, and related requirements.
• Identify opportunities to enhance processes, implement tools, and boost the efficiency of the Capital Markets Legal function.
• Collaborate with Finance, Treasury, Operations, and Compliance teams to ensure precise and timely legal support.
• Work closely with attorneys, business partners, and external counsel to facilitate the smooth execution of Capital Markets transactions and ensure ongoing contractual compliance.
• Undertake additional responsibilities as assigned by supervisors or managers.
• A minimum of 2 years of paralegal experience in a medium to large law firm or 4 years in an in-house legal department with a corporate focus, ideally with exposure to capital markets, structured finance, or financial services.
• A bachelor’s degree is required.
• Paralegal certification is preferred.
• Familiarity with capital markets and corporate governance processes.
• Outstanding organizational and project management abilities with the capacity to handle multiple priorities.
• Strong skills in research, drafting, and proofreading.
• Proficient in project and knowledge management technology tools, including the use of AI tools.
• Ability to work independently, anticipate needs, and proactively address issues.
• High attention to detail and a commitment to accuracy.
• Excellent communication skills and a proven ability to collaborate effectively across teams.
