M&A, Ventures and Accounting Policy Manager

This is a fully remote position, open to applicants in United States.

📋 Description

• Lead financial due diligence on target companies, encompassing quality of earnings analysis, assessments of working capital, and identification of accounting exposures, off-balance-sheet items, and deal-related risks.

• Take ownership of the complete purchase accounting process for finalized acquisitions in accordance with ASC 805, which includes purchase price allocation, recognition of intangible assets, calculation of goodwill, and adjustments during the measurement period.

• Identify and apply the correct accounting treatment for strategic investments under ASC 321, ASC 323, and ASC 810, involving equity method and fair value option elections.

• Regularly maintain and update Coinbase's accounting policies, prepare technical accounting memos for new or evolving products and transactions, and ensure each analysis reaches conclusion in collaboration with external auditors.

• Create original footnote disclosures, Management's Discussion and Analysis (MD&A), and transaction-related disclosures for 10-Q and 10-K filings, while confirming that SOX controls related to business combinations, investments, and accounting policies are effectively designed and operational.

• Collaborate with Product, Legal, Tax, FP&A, Controllership, and Corporate Development to provide accounting insights for new product launches, complex transactions, and post-acquisition integration.

⛳️ Requirements

• Over 9 years of progressive accounting experience with a solid combination of Big 4 public accounting and industry exposure; CPA certification is mandatory.

• Demonstrated extensive knowledge of US GAAP, including M&A accounting (ASC 805), investment accounting (ASC 321, ASC 323), and consolidation (ASC 810).

• Proven track record in leading financial due diligence, which includes quality of earnings analysis, working capital evaluations, and the identification of accounting risks throughout active deal processes.

• Experience managing external consultants and advisors across M&A workstreams, including defining engagement scopes, reviewing deliverables, and ensuring advisors meet quality and timeline expectations.

• Proven capability to draft technical accounting memos and original financial statement disclosures that convey complex accounting conclusions clearly to cross-functional stakeholders at all levels of the organization.

• Responsible utilization of generative AI, maintaining human oversight to produce business-ready outputs and enhance workflow efficiency, cost-effectiveness, and quality.
