📋 Description

• Acts as legal counsel for a designated departmental or functional area, or within a specific legal domain.

• Under the mentorship of senior attorneys, offers legal guidance and counsel to management and associates on various corporate and business matters.

• Collaborates with business leaders, with guidance from senior attorneys, to grasp direction, changes, and objectives; advises on potential legal issues or challenges.

• Implements legal policies and procedures.

• In partnership with senior lawyers, delivers training to internal clients on particular legal topics.

• Works alongside supported departments such as Finance & Accounting, Sales & Sales Excellence, Corporate Operations, Engineering/Product Development, Marketing & Communications, among others, to ensure that product offerings, business transactions, and agreements are legally sound and safeguard the company's interests.

• May provide services and advice within or across the areas detailed below.

• Collaborates with supported stakeholders to ensure their comprehension and endorsement of internal checks, controls, and related governance standards.

• Aids all governance functions and the preparation of public filings.

• Assists in the management and maintenance of entities.

• Keeps track of legislative and agency announcements, publications, and activities.

• Helps in researching, monitoring, and updating privacy and data regulation notices, policies, standards, guidelines, and processes.

• Collaborates with internal teams to understand business goals and address potential privacy concerns.

• Advises internal teams to ensure adherence to privacy regulations.

• Aids in the development of public policy-related position papers, presentations, and other documentation.

• Engages in reviews of new product development processes to ensure compliance with IP policies and methodologies and to create IP for the organization.

• Participates in patent searches and evaluations to support new product development.

• Assists in assessing potential third-party infringement of Unisys IP.

• Supports senior attorneys in IP disputes and litigation.

• Engages in trademark searches to assist with new marks or rebranding efforts.

• Collaborates with HR teams and management to comprehend and address various employment and labor issues, including recruiting, hiring, associate relations, equal employment opportunity compliance, and issues related to contingent workers.

• Contributes to broader organizational policy development, assessment, and related initiatives from an employment law/legal perspective.

• Aids in resolving disputes within the designated area of responsibility, collaborating with outside counsel and internal teams.

• Supports internal investigations and manages administrative matters related to litigation.

• Participates in and supports responses to subpoenas.

• Maintains precise records of all in-house litigation, disputes, subpoenas, and bankruptcy, including upcoming deadlines, matter statuses, openings and closings, and all matters submitted to outside counsel, defense matters, and judgments sent for collection.

• Supports eDiscovery processes for cases.

• Assists in drafting, negotiating, and interpreting commercial contracts.

• In collaboration with more senior counsel, reviews, advises on, and negotiates a variety of commercial contracts, including those concerning software licensing, SaaS, professional services, and online terms and conditions.

• Partners with internal business associates to create and implement action plans to resolve issues arising in contract negotiations.

• Provides counsel on operational legal topics, including data strategy and data licensing.


⛳️ Requirements

• BA/BS degree with 6-8 years of relevant experience OR an equivalent combination of education and experience.

• French-qualified lawyer with proficiency in the French language and expertise in French law.

• Preferred: Background in French Employment Law.
