This is a fully remote position, open to applicants in India.
• Assist with SEC reporting and compliance for public companies, which entails the preparation, review, and submission of Forms 10-K, 10-Q, and 8-K, as well as the annual proxy statement.
• Aid in Section 16 compliance and reporting requirements.
• Support corporate governance and secretarial duties, including the formulation of Board and committee agendas, resolutions, meeting minutes, and the Annual Stockholder Meeting.
• Oversee entity formation and maintenance in collaboration with the Senior Corporate Paralegal, covering foreign qualifications, state filings, and maintaining accurate searchable records.
• Assist with capital markets and financing activities, such as cap table management and due diligence processes.
• Provide support for mergers, acquisitions, and other strategic transactions, including diligence work and signing and closing tasks.
• Contribute to equity compensation and HR-related agreements, managing equity award administration and expanding equity offerings to international staff.
• Collaborate effectively with Finance, Accounting, Commercial, HR, Communications, and other departments.
• Lead cross-functional initiatives that involve defining tasks, fostering cooperation, and resolving conflicts with peers and senior leadership.
• Report directly to the Senior Director, Corporate & Securities.
• Juris Doctor (J.D.), Master of Laws (LL.M.), or a substantially equivalent legal degree from a recognized institution in India, including an Indian LL.B. or a comparable law degree that qualifies the holder for legal practice or advanced legal study.
• At least 3+ years of relevant experience in U.S. corporate and securities law at a leading U.S. law firm and/or in-house at a U.S. public company.
• Extensive experience in public company governance and SEC reporting, corporate structures, earnings cycles, investor relations, and meeting regulatory deadlines.
• Strong drafting capabilities for securities filings, governance documents, and transactional agreements.
• Familiarity with pertinent legal concepts, terminology, and procedures.
• Proficient in Workiva, Diligent, SimpleLegal, Lexion, Toppan Merrill, and the Microsoft Office suite, including Word, Excel, PowerPoint, Outlook, and Teams.
• A high level of professionalism and reliability.
• Proven ability to manage highly confidential information with sensitivity.
• Demonstrated experience collaborating with U.S.-based business teams.
• Exceptional written and verbal communication skills in English.
• Capacity to work 8 hours excluding breaks, which includes 4 core U.S. hours of overlap from 7:30 p.m. to 11:30 p.m. IST and 4 flexible hours in IST.
