This is a fully remote position, open to applicants in United Kingdom.
• Act as the main legal partner for the Go-To-Market team concerning EMEA-based transactions, facilitating customer deals from initial structuring to execution.
• Provide support for East Coast US transactions, collaborating closely with the US legal team.
• Draft, review, and negotiate SaaS agreements, enterprise customer contracts, professional services agreements, NDAs, and partner/channel agreements.
• Create and maintain standard form agreements and online terms, including platform terms, universal license agreements, and order forms.
• Engage in negotiations directly with sophisticated customer legal teams, particularly within financial services, insurance, healthcare, and pharmaceutical sectors.
• Ensure that commercial agreements comply with open source licensing requirements and adhere to industry best practices.
• Stay informed about DORA, GDPR, and relevant EU and UK privacy laws in relation to commercial contracting.
• Collaborate closely with Product, Product Legal, Security, and other cross-functional teams to ensure legal advice aligns with business and technical goals.
• Offer practical, risk-calibrated guidance that is consistent with company policies and risk tolerance.
• Manage an average of four new deals each week, exercising strong autonomy and sound judgment.
• Contribute to the development of scalable contracting processes as the company and international team expand.
• Juris Doctor (JD) or equivalent legal qualification, with active bar or solicitor membership in good standing.
• Over 5 years of commercial legal experience, preferably with a combination of law firm and in-house technology company experience.
• Extensive experience in drafting and negotiating SaaS, subscription, and professional services agreements.
• Proven ability to draft standard form agreements and online terms from scratch, rather than solely negotiating pre-existing documents.
• Experience negotiating with customers in highly regulated industries, along with familiarity with the regulatory considerations affecting those sectors.
• Working knowledge of open source licensing and compliance issues.
• Familiarity with DORA, GDPR, and the UK and EU data privacy frameworks as they relate to commercial contracts.
• Experience in cybersecurity, cloud infrastructure, or related technology sectors is highly desirable.
• Exceptional communication skills, with a proven ability to forge strong working relationships across Sales, Product, Security, and executive stakeholders.
• Sound business judgment, with the capability to balance legal risks against commercial objectives.
• Ability to independently manage multiple complex matters in a fast-paced, high-growth environment.
• Located in the United Kingdom; candidates from other European hubs where Chainguard has personnel may also be considered.
