This is a fully remote position, open to applicants in Switzerland, +4 more countries.
• Assist investment and operations teams within an expanding multi-jurisdictional platform that includes the US, Switzerland, and Luxembourg.
• Report directly to the CFO and collaborate closely with the investment team.
• Review and negotiate transaction documents for US growth equity, pre-IPO deals, and private fund investments, which encompass subscription agreements, side letters, LPAs, term sheets, and co-investment documentation.
• Provide the investment team with direct, actionable legal advice throughout deal execution and due diligence.
• Identify real risks early and suggest feasible solutions.
• Oversee corporate governance and entity management across the firm’s international group structure.
• Support shareholder matters, financing rounds, stock option plans, and general corporate housekeeping tasks.
• Work in collaboration with finance and operations on cross-functional legal and investor-related issues.
• Coordinate with and manage external counsel when specialized advice is necessary.
• Develop and maintain playbooks, templates, and review workflows to enhance deal turnaround efficiency.
• Monitor legal and regulatory developments and highlight their implications for the firm’s operations.
• Liaise with local counsel and manage investor-related matters.
• Extensive, hands-on transactional experience in US growth equity, pre-IPO deals, and private fund investments.
• Qualified lawyer with considerable post-qualification experience.
• Preferred US bar admission (state flexible).
• Strong understanding of US securities law and private markets regulation.
• Familiarity with SEC-registered investment adviser obligations is an advantage.
• Comfortable working directly on live transactions at a fast pace—reviewing documents swiftly, negotiating in real-time, and providing actionable guidance to the business immediately.
• Demonstrated ability to work independently, exercise sound judgment, and advise senior stakeholders directly without the support of a large legal team.
• Commercially pragmatic—capable of distilling complex legal risks into actionable guidance without unnecessary friction.
• Digitally proficient, with a genuine interest in AI and modern tools to enhance efficiency and effectiveness.
• Excellent written and verbal communication skills in English.
• Eligibility to work in the chosen base location (US, Switzerland, Germany, Luxembourg, or UK) at the time of application; the firm cannot provide visa sponsorship.
• Knowledge of investment products and financial regulations in the EU/Switzerland is advantageous.
• Experience advising on or operating within multi-jurisdictional corporate structures, including cross-border employment matters, Employer of Record arrangements, and data protection regulations, is beneficial.
• Proficiency in the German language is advantageous.
