This is a fully remote position, open to applicants in United States.
• Draft, review, and negotiate a wide range of contracts, including but not limited to SAAS and product agreements, vendor contracts, service agreements, data acquisition and licensing agreements, and non-disclosure agreements.
• Implement process enhancements to facilitate smoother contract flows from sales to operations.
• Ensure that all contracts adhere to company policies and legal standards.
• Provide support to supply chain, sales, and various corporate functions in understanding contracting processes and procedures.
• Identify risks and benefits associated with different supply chain products and services.
• Advise various corporate functions on the enforceability, options, and risks involved in potential contract disputes.
• Collaborate with the product development team to draft sales agreements for new offerings.
• Conduct legal research to back contract negotiations and resolve legal challenges.
• Stay informed about relevant laws, regulations, and industry trends that could affect the company.
• Work closely with internal stakeholders such as procurement, finance, HR, and operations to provide legal guidance on contract-related issues.
• Effectively communicate with external parties during negotiations and discussions.
• Maintain flexibility and communicate cost risk analyses of opportunities to stakeholders.
• Assist in the development and implementation of compliance programs and policies.
• Help ensure compliance with legal and regulatory obligations across the organization.
• Understand regulatory requirements and offer multiple compliance pathways.
• Manage and execute processes for resolving basic contract disputes and outstanding fees.
• Develop litigation strategies and manage outside counsel through successful litigation resolution.
• Provide support for various legal matters as necessary, including human resources, litigation support, immigration, licensing, privacy law, and employment law.
• Assist in preparing legal documents and filings.
• Offer legal advice, monitor, and resolve pre-litigation business disputes.
• Help formulate and implement legal and commercial strategies.
• Manage interactions with outside legal counsel on key issues to mitigate operational risks and oversee litigation.
• Juris Doctor (JD) degree from an accredited law school.
• Admission to the bar in any jurisdiction and eligibility to practice as in-house counsel in Texas.
• 5-7 years of experience in contract drafting and negotiation, preferably within an in-house setting.
• Strong knowledge of contract law and legal principles.
• Confidence in independent drafting and a keen interest in contract review/writing.
• Excellent business judgment.
• Strong interpersonal skills, sound judgment, and well-developed written and verbal communication skills to advise effectively at all organizational levels.
• Experience in managing litigation.
• Proficient in negotiating disputes and settlements prior to involving outside counsel.
• Detail-oriented with strong analytical and problem-solving skills.
• Ability to work collaboratively in a fast-paced environment while managing multiple priorities.
• Experience in risk management.
• Previous experience managing outside counsel/litigation.
• Commitment to the highest ethical and professional standards; personal and professional integrity beyond reproach; unquestioned discretion in maintaining confidentiality.
