This is a fully remote position, open to applicants in Kentucky.
• Contribute to APM’s expansion and ongoing advancement as the premier human services provider globally.
• Oversee legal matters related to APM’s operations in the United States.
• Analyze customer contracts, leases, and various agreements.
• Create contracts for new business ventures in collaboration with Business Partners.
• Facilitate the contracting process from initiation to finalization, including amendments, renewals, RFP/RFQ submissions, and vendor onboarding.
• Provide guidance to operational teams on contract interpretation, risk distribution, performance obligations, and dispute resolution.
• Assist with corporate governance functions, such as entity management, annual reports, board materials, meeting minutes, and record maintenance.
• Support corporate registrations, licensing, certificates of authority, and contract compliance requirements.
• Counsel on adherence to APM policies, code of conduct, whistleblower protections, and ethical standards.
• Keep abreast of regulatory trends impacting clinical governance, privacy, and employment law.
• Elevate legal and compliance concerns as needed.
• Facilitate staff training on legal, compliance, privacy, and contractual matters.
• Manage pre-litigation conflicts and collaborate with external counsel on litigation, administrative claims, and other disputes.
• Assess potential liabilities and propose strategies for resolution, mitigation, or negotiated outcomes.
• Provide training and updates regarding disputes and changes in legislation.
• Offer clear, straightforward, commercially relevant legal counsel.
• Proactively guide the business regarding legal risks.
• Enhance organizational systems and processes to optimize efficiency, effectiveness, and productivity.
• Undertake additional legal responsibilities and special projects assigned by the Associate General Counsel or Chief Risk and Legal Officer.
• Cultivate expertise in legal matters pertinent to APM's U.S. operating companies.
• Proven experience with commercial contracts, including drafting, negotiation, and review — essential.
• Background in Employment or Labor law — essential.
• Familiarity with Property law — preferred.
• Experience within a multinational corporate environment or law firm — preferred.
• Licensed and in good standing in home state, with the ability to obtain corporate counsel status in Kentucky — essential.
• Knowledge in one or more areas of corporate law, encompassing property, contracts, compliance, and employment/labor law.
• Exceptional analytical and communication abilities, both verbal and written.
• Strong organizational and time management skills.
• Ability to engage and consult with various stakeholders effectively.
• Highly skilled in negotiations.
• High level of self-motivation.
