Legal Counsel

This is a fully remote position, open to applicants in Wisconsin.

📋 Description

• Assist in expanding and optimizing a high-volume contracting environment with an emphasis on efficiency.

• Oversee the entire contract lifecycle, encompassing intake, drafting, negotiation, execution, amendment, and termination for a diverse array of contracts.

• Spearhead the creation and ongoing enhancement of contract templates, fallback positions, and playbooks.

• Recognize and address significant commercial risks while leading negotiations on risk allocation with counterparties.

• Monitor and report on contract-related metrics.

• Act as the main legal advisor to business teams regarding contract strategies, risk allocation, and negotiation stances.

• Manage contract compliance processes and governance.

⛳️ Requirements

• Juris Doctor (J.D.) degree from an accredited U.S. law school.

• Active bar membership in good standing in at least one U.S. state.

• Over 5 years of experience primarily focused on commercial contract drafting and negotiation, whether in a law firm or in-house setting.

• Strong skills in legal research, writing, and analysis.

• Exceptional organizational abilities with the capacity to handle multiple deadlines in a dynamic, fast-paced environment.

• Proven track record of negotiating complex commercial agreements.

• Experience with Contract Lifecycle Management (CLM) systems is highly preferred, particularly with Ironclad.
