Legal Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Evaluate, create, and negotiate commercial contracts that support the NORAM business.

• Offer overflow and backup assistance for EMEA commercial transactions during peak periods, PTO coverage, or resource limitations.

• Collaborate with internal stakeholders and regional legal teams across various jurisdictions.

• Create and negotiate NDAs, Supplier Agreements, Intercompany Agreements, and Partnership Agreements.

• Balance legal risks with commercial goals to facilitate deal closure.

• Provide guidance on GDPR, UK GDPR, CCPA, and other relevant data protection laws.

• Assist in the development and upkeep of privacy policies and procedures for NORAM and EMEA.

• Offer insights on commercial and contractual issues.

• Identify legal risks and suggest practical strategies for mitigation.

• Advise on trademark, intellectual property, and cross-border legal challenges.

• Resolve issues independently and with a pragmatic approach.

• Develop and maintain contract templates, legal playbooks, and internal guidelines.

• Conduct ad hoc legal training for stakeholders across various regions.

• Collaborate closely with the General Counsel and Legal team to ensure uniform regional support.

⛳️ Requirements

• Juris Doctor degree from an accredited U.S. law school.

• Active membership in a U.S. state bar.

• Over 5 years of legal experience.

• Extensive experience in negotiating enterprise SaaS contracts within a vendor-side environment.

• Proven track record of negotiating commercial contracts in the technology or SaaS fields.

• Practical knowledge of UK and German legal systems regarding commercial contracts and data protection.

• Understanding of GDPR, UK GDPR, and CCPA in an international setting.

• Exceptional analytical, drafting, and communication abilities.

• Familiarity with trademark law and intellectual property in a business context.

• Capability to independently manage competing priorities and meet tight deadlines.
