This is a fully remote position, open to applicants in United Arab Emirates (UAE).
• Assist the Legal department with corporate secretarial duties, entity management, statutory compliance, and various legal matters across the Group’s GCC, Middle East, Africa, and offshore entities.
• Oversee corporate filings, licensing, regulatory obligations, and entity compliance by collaborating with internal teams, authorities, registered agents, and external legal counsel.
• Aid in initiatives for entity consolidation and rationalization, which includes the liquidation and strike-off of unnecessary entities.
• Draft, coordinate, distribute, and maintain Board resolutions, written resolutions, meeting minutes, and associated corporate approvals.
• Create and manage shareholder resolutions, general assembly resolutions, and their respective minutes.
• Evaluate corporate approval levels and verify approval requirements, voting thresholds, quorum, execution formalities, and filing obligations.
• Organize signatures, notarization, legalization, attestation, and regulatory submissions.
• Keep registers of Board and shareholder resolutions and minutes updated.
• Prepare and format corporate documents in both Arabic and English, and arrange for certified legal translations.
• Oversee annual legal entity compliance calendars, shareholder meetings, approvals for annual audited financial statements, auditor appointments, and ongoing corporate filings.
• Draft resolutions for dividends, profit distributions, and statutory or legal reserves.
• Coordinate the appointments, resignations, removals, and replacements of directors, managers, and officers.
• Manage authorized signatories, signing authorities, and powers of representation.
• Prepare banking resolutions, powers of attorney, delegations, and corporate authorizations.
• Organize corporate documents needed by banks for KYC, account maintenance, and changes in corporate authorities.
• Manage corporate changes related to directors, registered offices, addresses, company names, licensed activities, constitutional documents, ownership, shareholding, and capital.
• Facilitate the establishment of subsidiaries, branches, and other legal entities.
• Support mergers, restructurings, liquidations, deregistrations, and closures of entities.
• Oversee license renewals, amendments, and entity-level registrations.
• Assist in entity consolidation, including business, asset, contract, and employee transfers, along with related intra-group documentation.
• Coordinate solvent voluntary liquidations, strike-offs, and deregistrations from start to finish while maintaining closure trackers.
• Preserve statutory registers, corporate records, constitutional documents, licenses, certificates, approvals, and filings in an audit-ready repository.
• Prepare economic substance notifications and returns, as well as beneficial ownership filings, including UBO registers and BVI filings.
• Maintain jurisdictional corporate compliance matrices and keep abreast of changes in corporate legislation and statutory requirements.
• Identify compliance gaps, overdue actions, and legal or compliance risks while assisting in remediation efforts.
• Collaborate with Legal, Finance, Tax, Treasury, HR, Procurement, senior management, external counsel, service providers, auditors, banks, notaries, and authorities.
• Provide corporate documentation for audits, tenders, banking KYC, regulatory reviews, and transactions.
• Review, draft, and negotiate NDAs, service and vendor agreements, intra-group agreements, MoUs, engagement letters, and powers of attorney.
• Advise internal teams on contractual terms, risk allocation, approval requirements, and execution formalities.
• Offer day-to-day legal guidance on corporate, commercial, and compliance inquiries.
• Maintain contract templates, playbooks, and clause libraries in both Arabic and English.
• Oversee contract execution formalities and maintain executed contracts in the contract repository.
• Assist with transactions, tenders, and projects that require contractual and corporate secretarial input.
• Relevant experience in corporate secretarial functions, entity management, or in-house legal operations.
• Experience in supporting a multi-entity and multi-jurisdictional corporate structure is highly preferred.
• Strong understanding of corporate law principles, legal compliance for Boards and shareholders, statutory filings, and corporate governance.
• Excellent drafting abilities, especially for Board and shareholder resolutions, minutes, powers of attorney, and corporate approvals.
• Significant experience in reviewing and drafting commercial contracts and providing practical legal advice to internal stakeholders, demonstrating sound commercial judgement and the capacity to identify and escalate material legal risks.
• Exceptional organizational and project management skills, with the capability to manage multiple jurisdictions and statutory deadlines.
• High level of attention to detail and the ability to maintain accurate, complete, and audit-ready corporate records.
• Capacity to work independently with local counsel and internal stakeholders while appropriately escalating legal issues.
• Proficient in document and entity management tools, MS Office (advanced Word), and the ability to maintain a structured corporate repository and compliance calendar; familiarity with e-signature and document management platforms is a plus.
• Full professional proficiency in Arabic and English, including the ability to draft, review, and format corporate documents and correspondence in both languages, as well as manage Arabic-language notarization, attestation, and authority filings.
• Bachelor’s degree in Law, Legal Studies, Corporate Legal Compliance, or a related field.
