This is a fully remote position, open to applicants in Texas.
• Serve as a strategic legal partner at the group level, providing advice, reviewing, and assisting in negotiations related to significant client project agreements, partnerships, and vendor/supplier contracts across various entities and jurisdictions.
• Facilitate fundraising activities: manage diligence processes, review and negotiate term sheets, MoUs, subscription agreements, SAFEs/convertible instruments, and related financing documents in collaboration with outside counsel and finance teams.
• Evaluate and negotiate a diverse array of commercial agreements, ranging from high-value client/vendor contracts to regular administrative documentation.
• Collaborate with corporate finance on transactional issues, including entity structuring, intercompany agreements, and support for M&A or investment activities as necessary.
• Oversee entity management, board documentation, and corporate record maintenance for the group's legal entities across multiple jurisdictions (including Spain, the US, Taiwan, Saudi Arabia, Australia, and India).
• Manage regulatory filings, corporate compliance obligations, and tracking of key deadlines and renewals in all jurisdictions where the group operates.
• Create and implement internal compliance initiatives and policy management, ensuring that policies are practical and embraced rather than merely documented.
• Proactively identify legal and regulatory risks for leadership, providing actionable recommendations instead of only highlighting issues.
• Draft, review, and translate legal, corporate, and business documents between English and Spanish; assist Spanish-speaking employees, vendors, customers, and legal advisors.
• Coordinate with local counsel across the group's jurisdictions—including Spain, the US, Taiwan, Saudi Arabia, Australia, and India—to ensure global agreements comply with local laws and practices. Note: the company is actively expanding internationally, so this footprint is expected to grow.
• Act as a central resource for cross-border legal inquiries, guiding the business through varying regulatory, employment, and contracting standards across regions.
• Take the initiative to familiarize oneself with the regulatory norms of new jurisdictions as the company enters them, rather than waiting for direction.
• Identify when local law expertise or local counsel input is required, managing these relationships effectively to prevent unnecessary external expenditures.
• Lead and modernize the company's legal operations function, including contract lifecycle management, document repositories, matter tracking, and legal request intake.
• Recognize and implement process enhancements, templates, and playbooks that minimize turnaround times and reduce reliance on outside counsel.
• Develop and maintain a library of standard forms (NDAs, MSAs, SOWs, vendor agreements, employment-related documents) to expedite everyday contracting.
• Establish and manage the outside counsel strategy: determine in-house versus external handling, negotiate rates/scopes, and review external counsel outputs for quality and cost before presenting to leadership.
• Collaborate with another senior lawyer to address the complete range of the group's legal needs—this role is a genuine partnership.
• Apply independent judgment: proactively identify risks, suggest alternatives, and constructively express disagreement instead of merely following instructions.
• Adapt effectively amid organizational changes—the company's structure is evolving, and this role will need to adjust scope and priorities as developments occur rather than expecting a static mandate.
• Mentor and potentially oversee paralegal or junior legal support as the function grows.
• Juris Doctor degree and active membership in good standing with a U.S. State bar, preferably Texas.
• 7–15 years of experience as a practicing attorney, ideally blending law firm and in-house/corporate legal department experience.
• Fully remote position—location is flexible worldwide; US preferred, with a requirement to maintain U.S. business hours (Central Time).
• Proficient in both English and Spanish (written and verbal).
• Ability to operate semi-autonomously with minimal supervision.
• Strong background in commercial law.
• Experience in technology, fintech, or other relevant commercial sectors.
• Comfort working within a genuinely global legal framework (currently covering Spain, the US, Taiwan, Saudi Arabia, Australia, and India, with further international growth anticipated)—you don't need to be an expert in every local law, but should be willing and capable of gaining familiarity with new regulatory norms as the company expands into new markets.
• Proven experience in drafting, negotiating, and managing a wide range of commercial and corporate contracts across borders.
• Experience in supporting mid to large-scale fundraising, financing, or investment transactions (equity, debt, or venture-style deals).
• Solid understanding of corporate governance, entity management, and regulatory compliance within a multi-entity, multi-jurisdictional structure.
• Proven ability to manage outside/local counsel relationships across multiple countries while controlling legal expenditures.
• Exceptional judgment, organizational skills, and capability to prioritize among competing demands.
• Capacity to maintain strict confidentiality, uphold professional ethics, and handle highly sensitive information.
• Proficiency in Microsoft Office Suite and document/contract management systems.
